operatorGood morning, and welcome to Alexander's, Inc.'s Annual Meeting of Shareholders. I'd now like to introduce our first presenter, Mr. Steven Roth.
Steven Roth
executiveGood morning, everyone. We'll begin the meeting now. Will the meeting please come to order? Ladies and gentlemen, I am Steven Roth, Chairman of the Board of Directors of Alexander's, Inc. On behalf of the directors and officers of Alexander's, I am pleased to welcome all of you to our 50th Annual Stockholders' Meeting as a public company. This year, due to the public health and safety concerns of COVID-19, we are using a virtual meeting format with audio only. Our virtual meeting format is accessible to all of our stockholders regardless of physical location, allows you to participate in the meeting, submit questions and comments and vote your shares online prior to the closing of the polls. As we meet today, we are optimistic that we are near the end of the COVID-19 pandemic, a global health and economic crisis of enormous and historic proportion. I hope all of you continue to be safe and healthy and that you are vaccinated or on your way to being vaccinated. At Alexander's, as our first priority, we continue to follow strict protocols and take all measures to protect our employees, our tenants and our communities. We commend and admire the talent and courage of our health care providers who have worked so hard over the past 15 months. During this crisis, our properties have generally remained open in compliance with applicable laws, manned by operating teams who are doing a remarkable job of keeping them safe and sanitized. We are grateful to our team. They have our thanks, and we wish them and everyone good health. I am joined by audio webcast with the following other officers: Matt Iocco, our Chief Financial Officer, Michael Franco, our Senior Vice President; as well as Steven Borenstein, Corporate Secretary of the company, who will serve as Secretary of the meeting. My fellow Board members are participating in the meeting via audio webcast and are available to answer questions as appropriate. Representatives from our registered public accounting firm, Deloitte & Touche, LLP are also on the webcast. As Chair of the meeting, I have adopted an agenda that will govern the order of the business and rules of conduct for the meeting. Copies of the agenda and the rules of conduct are available on the virtual meeting site. Rules of conduct have -- also govern the Q&A session. Mr. Secretary, has the Notice of Meeting duly mailed?

A copy of the affidavit of mailing is in my possession. I therefore declare that Notice of the Meeting has been duly given.

executiveMr. Chairman, I, Michael Franco, so move.

Steven Roth

I will now entertain questions and comments while voting is being completed. Please note you may submit questions at any time prior to the end of the Q&A session. In this Q&A, we will do our best to answer as many questions as we can.
Steven Borenstein
executiveMr. Roth, the first question is, when would be a good time to sell the Macerich shares from the Kings Plaza Mall now?
Steven Roth
executiveAlmost any time now. We will be selling the Macerich shares sometime in this fiscal year.
Steven Borenstein
executiveOur next question is, can you please comment on your development plans at Rego Center? Is it still the intention to put up more apartments there? And is there any other value-add work that can be done at that property? What is the time line? And what do you think it might cost?
Steven Roth
executiveThe 2 buildings that are completed, what we call Rego I and Rego II, our mission there is to rent some of the space, which is now vacant. We have a vacant piece of land to the west of those 2 buildings, on the corner of Junction Boulevard and the Long Island Expressway service road, where we currently intend to build 1 story of retail and apartments. The cost of it is -- we're not prepared to discuss the budgeted cost as of yet. And the time line is that this will likely start in the next year or 2, and then it will take likely 2 years more to finish the building. There can be no assurance that we will commence or complete any development or any apartments on that site, however.
Steven Borenstein
executiveGiven very hot credit market, have you considered recasting any of our properties to fund new projects or a special dividend? For example, given the recent addition of IKEA, it looks reasonable to add some leverage to Rego I. What about the rest of the property?
Steven Roth
executiveThe interesting thing about leverage is, is that you have to pay it back. So we're very cautious with leverage. We are -- we have $450-odd million of cash, which is an amount of cash that, at the current time, we deem to be sufficient. So the ending leverage and paying interest, and basically investing it in short term, would yield nothing, so that there's a significant negative arbitrage, doesn't seem like a very wise move, unless we needed the capital, which we do not.
Steven Borenstein
executiveAnd our final question is, in the context of having over $400 million of cash on the balance sheet and a portfolio of underlevered properties, can you discuss the options you have considered on allocating the excess capital? Have you considered even a modest amount of share buybacks given where Alexander's is trading? It seems like a no-brainer and the portfolio is cheap.
Steven Roth
executiveWe consider buybacks periodically. And as you know, we have not done a buyback. So the conclusion you could draw is, is that we have rejected the idea heretofore. We do not believe that we would be able to do a buyback in -- the stock is very thinly traded and very closely held, so the ability to do a large buyback, if we should want to, and I am not saying that we would want to, is probably very limited to impossible. So buyback is not a strategy at the current time that we are pursuing. In terms of our allocating the $450 million of cash that we have, at the present time, we're actually very comfortable with that liquidity and that safety. We do have leases, which are expiring, et cetera. So at the current time, we're comfortable with our capital position.
Steven Borenstein
executiveOkay. The Q&A discussion period is now closed.
Steven Roth
executiveThank you, Mr. Secretary. The polls are now closed. According to the preliminary report of Broadridge Financial Solutions, Inc., the results are as follows. First, each of the nominees for election of director has received at least a plurality of all the votes cast on this matter. Accordingly, each of the nominees has been duly elected a director of Alexander's, Inc. to serve until the Annual Meeting of Stockholders in 2024 and until his successor is duly elected and qualified. Second, the ratification of the selection of Deloitte & Touche LLP as the company's independent registered public accounting firm with regard to the current fiscal year has been approved. The final tabulation will be reported on a current report on Form 8-K within 4 business days. No notice of any additional business having been given pursuant to Alexander's bylaws, is there a motion to adjourn?
Michael Franco
executiveMr. Chairman, I, Michael Franco, move that this meeting be adjourned.
Matthew Iocco
executiveMr. Chairman, I, Matt Iocco, second the motion.
Steven Roth
executiveThank you. The meeting is adjourned. We appreciate the attendance of everybody, and we will hopefully see you all next year. Thank you.
