executiveGood morning. This is Pat Mackin, President, CEO and Chairman of the Board of Directors. I would like to call our annual meeting to order and welcome all of our attending stockholders. Joining us are members of our Board of Directors. Also present today are Ashley Lee, our CFO; Jean Holloway, our General Counsel, Chief Compliance Officer and Corporate Secretary. We also have with us Brian Pendley from Ernst & Young, our independent auditing firm, who is available for comment and to respond to questions if there are any. We are also joined by Ray Dunn from American Election Services, who will serve as our inspector of elections. We are here to consider the following items: first, the election of 9 members to our Board, namely: Thomas F. Ackerman, Daniel J. Bevevino, Marna P. Borgstrom; James W. Bullock, Jeffrey H. Burbank; Ronald D. McCall, J. Patrick Mackin, Harvey Morgan and Jon W. Salveson; number two, an advisory note of our named executive officers compensation; number three, the approval and funding of a new equity and cash incentive plan; and number four, the ratification of Ernst & Young as our independent auditors for 2020. If there are any stockholders of record as of March 11, 2020, our record date, who are present and who have either not submitted a proxy and wish to vote during the annual meeting or have submitted a proxy but wish to revoke the proxy or change their vote, you may do so now by using the voting button on the meeting website. You may vote using the voting button until discussion of the proposal under consideration is concluded and the polls are closed. I'll now turn the call over to our Corporate Secretary and General Counsel, Jean Holloway.

executiveMr. Chairman, I have confirmed that there are 31,405,618 shares of common stock represented at this annual meeting out of a total of 37,679,978 shares entitled to vote. Accordingly, a quorum for this meeting exists, and we can proceed with voting.

executiveMr. Chairman, preliminary voting results indicate that each of the nominees has been elected as a Director of CryoLife, the advisory vote on our named executive officers' compensation has been adopted, the new equity and cash incentive plan has been approved and funded, and the selection of Ernst & Young as our independent auditors for 2020 has been ratified. Final voting results will be disclosed on a Form 8-K to be filed with the SEC.
