Welcome to the AudioEye 2021 Annual Meeting of Stockholders. I will now turn the call over to the company to begin.

Good morning. I am Dr. Carr Bettis, Executive Chairman and Director of AudioEye. On behalf of AudioEye's Board of Directors and officers, I welcome you to our 2021 Annual Meeting of Stockholders, which is now called to order. I will now call on James Spolar, our General Counsel and Corporate Secretary, to conduct the meeting.

Thank you, Carr. Good morning, everyone. Because of the COVID-19 pandemic, we are holding this meeting virtually. Delaware law enables Delaware corporations such as AudioEye to hold annual shareholder meetings solely by means of what is termed as remote communication, which includes what we are doing today. Using remote communications, stockholders can participate in the meeting, be deemed present and vote at the meeting. The polls are now open for voting. If you wish to vote, please follow the instructions on the website you access to join the meeting. You may vote at the meeting whether or not you've already voted. You may also use the website to submit questions in the text box located in the lower hand part of the screen. Questions relating to the 3 proposals set forth in the proxy statement will be addressed after the proposals have been presented and prior to the polls closing. Officially, the record date for voting at the meeting was March 24, 2021. 10,738,114 shares of common stock were outstanding as of the record date and are entitled to 1 vote each. The Series A convertible preferred stock votes as a class with the common stock, as of the record date, the holders of preferred stock were entitled to an aggregate of 265,806 votes. I submit for the company's records, affidavits of mailing to stockholders of record of common stock and preferred stock, copies of the affidavits will be available for inspection and will be placed in the permanent records of the meeting. In addition, the Board of Directors has appointed Richard Leza to act as the inspector of election. Mr. Leza is in telephonic attendance at this meeting. He has informed me that more than 50% of the voting power of the company's outstanding stock entitled to vote at today's meeting is represented by proxy or in person, and as a result, a quorum is present. I am named in the proxy statement to act as proxy for those who have returned their proxy card prior to today and I will vote the proxies as directed on the respective cards. If no such directions were provided, I will vote for management's nominees for Director and for proposals 2 and 3. The only stipulation is that the inspector of election will record any against abstentions or broker non votes as contained in the proxies held by management on an item-to-item basis. As stated in the virtual notice of the meeting, there are 3 proposals to come before the meeting today. The first proposal is the election of directors. The 5 nominees are Dr. Carr Bettis, Anthony Coelho, David Moradi, Jamil Tahir and Marc Lehmann. The next proposal is the approval on a nonbinding advisory basis of the 2020 compensation of the company's named executive officers as disclosed in the proxy statement. The final proposal is the ratification of the appointment of MaloneBailey as AudioEye's independent registered public accounting firm for the fiscal year ending December 31, 2021. All right. If that's the case, the polls are now closed. The inspection of -- excuse me, the inspector of election has reported to me that the votes have been tabulated, and the preliminary boats are as follows: All of the directors submitted by management, have been elected to serve until the next annual meeting. The resolution asking for approval of the 2020 compensation of the company's named executive officers have been adopted. And the proposal to ratify the appointment of MaloneBailey as the company's independent registered public accounting firm have been adopted. Note that the inspector of election will furnish a written report of the final vote count for each of these matters, and the final vote count will be reflected in the minutes of this meeting and in a Form 8-K that the company will file with the SEC to report the results. I hereby direct that the certificate of the inspector of election be filed with the records of the company. This concludes the business of the annual meeting. And as there's no other business to consider, the annual meeting is hereby adjourned. Thank you very much for attending today.
