Earnings Call Speaker Segments
Tarang Amin
executiveGood morning, ladies and gentlemen. Welcome to the 2022 e.l.f. Beauty, Inc. Annual Meeting of Stockholders. I'm Tarang Amin, Chairman and Chief Executive Officer and a member of our Board of Directors. I will act as Chairman of the annual meeting. Scott Milsten, our SVP, General Counsel and Chief People Officer, will act as Secretary of the annual meeting. I'd now like to officially call the annual meeting to order. Scott, will you please confirm that a quorum is present?
Scott Milsten
executiveYes. We have a quorum present. Based on shares outstanding and entitled to vote on the record date, which was July 6, 2022, an aggregate of 53,079,298 votes may be cast by stockholders at this meeting. I show that there are present in person or by proxy stockholders representing a majority of the total number of votes which may be cast. I have the official stockholder list prepared as of the record date, showing the name, address and number of shares held by each stockholder of record entitled to vote. That list is available for inspection by stockholders.
Tarang Amin
executiveWe will now turn to the proposals to be voted upon. We have 3 proposals to be considered today. The first proposal is the election of 4 Class III Directors for a term of 3 years. These nominees are Tarang Amin, Tiffany Daniele, Lori Keith and Beth Pritchard. The second proposal is approval on an advisory basis of the compensation of our named executive officers. The third proposal is the ratification of the appointment of Deloitte & Touche LLP as our independent registered public accounting firm for the fiscal year ending March 31, 2023. The polls are now open. Stockholders who have voted by proxy do not need to vote again unless they wish to change their vote. If you have not already voted or wish to change your vote, please vote electronically using the voting link on the meeting website. I'll give everyone a few moments to vote. [Voting]
Tarang Amin
executivePolls are now closed. Scott, can you announce the preliminary results?
Scott Milsten
executiveYes. The preliminary results are as follows. Each nominee for Class III Director has been duly elected to serve for a 3-year term expiring at our 2025 annual meeting. The compensation of our named executive officers has been approved on an advisory basis. And the appointment of Deloitte & Touche LLP as our independent registered public accounting firm for the fiscal year ending March 31, 2023, has been ratified. As a reminder, Ms. Daniele will now be reclassified as a Class II Director in order to evenly distribute our Directors across all classes.
Tarang Amin
executiveThank you. The inspector of election will make the final report in the annual meeting record. The final voting results will be included in a Form 8-K to be filed with the SEC. We have no other business to conduct at this annual meeting. The annual meeting is now adjourned. We'll now turn to the Q&A session. In order to set whether it's necessary to review the rules of this section, I'll ask Hillary Lyon, our Assistant General Counsel, if there are any questions.
Hillary Lyon
executiveThanks, Tarang. It appears that no questions have been submitted during the meeting.
