There are 3 proposals to be considered by the stockholders at this meeting, which I will summarize and are more fully described in the proxy statement for this meeting, which has been filed with the Securities and Exchange Commission and made available to the stockholders. Proposal 1, NASDAQ share issuance proposal. The first item of business is the approval for the purpose of NASDAQ Listing Rule 5635, subsection D of the issuance of shares of the company's common stock to YA II PN - Limited pursuant that to the certain amendment and restricted or restated standby equity purchase agreements dated October 31, 2024, as amended by the supplemental agreement dated February 24, 2025. We refer to this proposal as the NASDAQ share issuance proposal. Is there any discussions regarding this proposal at this time? With no discussions, I now move on to Proposal 2, reverse stock split proposal. The second item of business is the approval of an amendment to the company's amended and restated certificate of incorporation as amended to effect at the discretion of the company's Board of Directors, a reverse stock split of the common stock at a ratio in the range of 1:5 or to 1:10 with such ratio to be determined at the discretion of the Board. We refer to this proposal as the reverse stock split proposal. Is there any discussion regarding this proposal at this time? Moving on, Proposal 3, adjournment proposal. The third item of business is approved for one or more adjournments of the special meeting. If necessary, to solicit additional proxies in the event that there are not sufficient votes at this time of this meeting to approve the NASDAQ share issuance proposal or the reverse stock split, we refer to this proposal as the adjourned proposal. Jason Maddox
executiveI want to thank you all for your continuing support of Envirotech Vehicles. We would now like to proceed with an update from myself, Jason Maddox, Phillip Oldridge, Executive -- Chief Executive Officer and Chairman of the Board; and Jason Maddox, President and Interim Chief Financial Officer. This update will be followed by a general question and answer. You can feel free to submit questions via the portal, and Philip and myself will be able to read those questions aloud and answer them here live. We closed out -- this is Jason Maddox, President and Interim CFO. We successfully closed out the 10-K, which is available online. We are finalizing Q1 numbers currently. And we've released a press release this morning that is announcing our movement into an expansion into 2 new addressable markets in electric vehicle and electrification space, which is an electrification of drones, U.S.-made drones and into electrification of U.S. watercraft. These new initiatives, we believe, will bring us into a large addressable market where we will successfully be able to build product in the U.S. in our Houston and Arkansas facilities and successfully be able to generate additional revenues. As you know, the electric vehicle space has been hit hard by tariffs coming in from China and other areas where our large components are built. We are in the process of domesticating all of our manufacturing, which takes time and also reflects competitors, problematic competitors and market conditions.
Phillip Oldridge
executiveFurther to that, Jason, and thank you for that. This is Phillip Oldridge, Chief Executive Officer and Chairman of the Board. We will be press releasing in the next 3 weeks, and we are pleased to announce after a long period of time that we have successfully completed 4 of our brand-new school buses out of the 10 that are scheduled for delivery over the next year. So we're just finishing the inspection process right now with the state of Texas, which should be completed sometime next week. And the following week after that and towards the third week of the month, we will be delivering 4, quite possibly 5, but 4 for sure, of our brand-new school buses to various school boards and school districts within the state of Texas.
Jason Maddox
executiveWe will have more announcements forthcoming. Please keep checking back on our press releases for all the new exciting things that we're doing for 2025 and what our plans are. I'm looking at our questions and answers. And the only one I see on here so far was from the beginning that says it says vote has ended when I did it a while ago, and I'm here getting the same message, are they turning it on during the meeting? I think this has already been answered as we did vote in the meeting and you were able to cast your vote. Is there any other questions that you would like to send in to the webcaster?
Phillip Oldridge
executiveLet's just give them a moment to see if anything else pops up there, Jason.
Jason Maddox
executiveOkay.
Phillip Oldridge
executiveIt doesn't look like anything else has come up, nothing in the queue. So ladies and gentlemen, this is your CEO, Phillip Oldridge speaking, and I'd like to thank you all for attending this meeting today, and thank you all for your continued support of Envirotech Vehicles. I know it's been sort of a long road to hold these last couple of years with lots of changes in the space and especially a lot of changes in the EV space. We, as a company, have been flexing into that space and into those changes and believe that we've brought on some new areas that we can move into and expand and continue to expand the Envirotech platform. And we'd like to thank each and every one of you for your continued support. And let me pass it over to Jason for one more moment here.
Jason Maddox
executiveYes. Thank you. I also wanted to address the 3 items that you voted on today. The first item that you voted on, it was to be able to allow us to raise more money for the different initiatives that we're going to be looking into. The revenue that we are going to create -- the investment dollars that we're going to create from that are going to go into income-producing revenue-driven initiatives. The second vote that you voted for today for the reverse stock split, I wanted to be clear that we are doing everything in our power to be able to not be delisted because of the dollar price share. We have a lot of exciting initiatives that we're going to be pushing ahead, and we hope to generate shareholder value with a higher stock price. So as of today, we are not interested in doing a stock split. We wanted to be able to vote on that just so that we had a backup if the time comes where we would need to use it. So we appreciate your vote, but we want to give you assurance that we are in the fight, and we will be creating a lot of good initiatives to bring up our stock price, hopefully. The third one was a technicality for a quorum, which we had. So I just wanted to be clear on those so that our stockholders are aware of what we're doing and our intentions moving forward for 2025. With that, I think we'll end our Q&A session as I do not see any other questions coming in. We appreciate your attendance, and thank you very much for your voting and for a quorum.
Phillip Oldridge
executiveThank you, ladies and gentlemen, for attending today's meeting. We appreciate the vote of confidence. God bless you all. Thank you.
