executiveGood morning. I am Gary Owens, Chairman of the Board of Geospace Technologies Corporation. On behalf of my staff and the other members of the Board of Directors, I welcome you to the 2021 Annual Meeting of Stockholders. We are pleased to have each of you join this meeting and to have this opportunity to report to you on the company's operations. If you had joined this call, you will need to join as a stockholder or a guest. Only stockholders who have signed in as stockholders may vote and ask questions during our meeting. Those who have signed into the meeting as guests, may listen but may not vote or ask questions. If you joined as a stockholder, you are required to enter a control member. If you are a stockholder and joined as a guest, and as a stockholder, you want to either vote or ask a question, you will need to leave the meeting and sign in again as a stockholder using the password of the notice and providing your control number as the meeting notice describes. On the other hand, if you're a stockholder, but joined as a guest and do not want to vote or ask questions, you may remain signed in as a guest to listen to the meeting. Any vote that any stockholder cast prior to the meeting will not be changed, unless the stockholder has logged in as a stockholder and vote during the meeting. [Operator Instructions] After the formal stockholders meeting, Rick Wheeler, CEO and President of Geospace Technologies Corporation will bring you up-to-date regarding the company's activities. After that, we will have a brief question and comment period where you will be provided the opportunity to either ask questions on the management. Before we proceed, I would like to point out that the company has established certain protocols for this meeting. [Operator Instructions] Before we begin the business portion of the meeting, I would like to recognize several individuals. First, I would like to introduce you to the other members of our Board of Directors who are joined as virtually today. They are Dr. Thomas L. Davis, Lead Independent Director; Mr. Kenneth Asbury; Ms. Margaret S. Ashworth; Mr. Edgar R. Giesinger, Jr.; Ms. Tina M. Langtry; Mr. Richard F. Miles; Mr. Michael J. Sheen; Mr. Walter R. Wheeler. Michael Sheen has decided not to stand for reelection to our Board. Michael has served our Board for years with distinction, and we would like to thank you for many years of service. Michael will continue as the Senior Vice President and Chief Technical Officer at Geospace. The executive officers and other members of the management team at Geospace joining us today are Mr. Walter R. Wheeler, our Chief Executive Officer; Mr. Michael J. Sheen, our Senior Vice President and Chief Technical Officer; Mr. Robert L. Curda, our Chief Financial Officer and Secretary; Mr. Robin B. Adams, our Executive Vice President and Chief Project Engineer; Mr. David E. Witt, our Chief Information Officer; Mr. Kenneth [ G. ] Nesteroff, our Adjacent Markets Director; Mr. Mark A. Tinker, Chief Executive Officer of our Quantum Technology Services Division; Ms. Lacey C. Rice, our Vice President of Human Resources. Also, I would like to introduce Kylie Whitecotton and Andrea Wang from RSM US LLP, our independent public accountants. If questions arise during the discussion period that our RSM US LLP should appropriately address, we will call on in to respond. Finally, I would like to introduce Melissa Pierce with Computershare Trust Company, our transfer agent and registrar, who will act as judge of election for the meeting. Melissa will handle any inquiries that stockholders may have about their respective folks. The Geospace Technology Corporation Annual Meeting of Stockholders is now called to order. I will act as Chairman of the Meeting, Mr. Robert Curda will [indiscernible] of the meeting. This is the Annual Meeting of Stockholders at Geospace Technologies Corporation, and as such, is a forum for dialogue between stockholders and management of the company about matters relating to the business of the company. As stated before, stockholders may vote or change their vote during the meeting by clicking the link, cast your vote on the screen. Your virtual vote will cancel out any prior valid or proxy that you may have previously voted. An affidavit of mailing, executed by Computershare Trust Company were delivered to the company, which state that Computershare Trust can be [ caused ] to be mailed on or about January 4, 2020, to each of the record holders of the company's common stock as of the close of business, December 15, 2020. A proxy statement, the annual report to stockholders, a preaddressed proxy card and a return envelope relating to this annual meeting. The secretary of the meeting will [ cause ] this affidavit, together with a copy of the proxy space to be filed with the minutes of this meeting. Melissa Pierce of Computershare Trust Company will act as the judge of election for this annual meeting. Melissa will handle any inquiries that stockholders may have about their respective votes. Prior to the meeting, she executed an oath as judge of election and presented the oath to the secretary. The secretary of the meeting will file the oath with the minutes of this meeting. A list of stockholders of the company entitled to notice of and to vote at this annual meeting, along with their addresses and number of shares held, has been on file at the principal executive offices of the company, open to examination by any stockholder during ordinary business hours for at least 10 days. This list may also be accessed by stockholders by clicking on the link on your screen entitled, Stockholder List. The judge of election will now report as to whether the presence of a quorum can be determined for the proxy to [indiscernible] prior to the meeting and from the stockholders virtually present.

executiveThank you. The secretary of the meeting will file the certificate of proxy inspection and tabulation executed by the judge of election with the minutes for this meeting. Notice that this meeting has been properly sent and a quorum of the shares is represented in person or by proxy. This annual meeting is, therefore, duly constituted [indiscernible] for the transaction of business. First item of business, as set forth in the notice, it's to elect 3 directors to hold office as Class II directors until the 2024 Annual Meeting of Stockholders or until his or her successor is duly elected to qualify. The nominating and corporate governance community of the Board of Directors has nominated Ms. Tina M. Langtry, Mr. Kenneth Asbury, and Ms. Margaret Sidney Ashworth to be elected as Class II directors for a 3-year term. The second item of business is to ratify the appointment by the Audit Committee of the Board of Directors of RSM U.S. LLP, independent public accountants as our auditors for the year ending September 30, 2021. Third item of business is to vote on a nonbinding advisory resolution regarding the compensation of Geospace Technology Corporation's named executive officers. The fourth and final item of business is to vote on the approval of amendments to the company's 2014 long-term incentive plan. We will now proceed to vote. If you have voted previously, you do not need to vote again unless you wish to change your vote. As a reminder, submission of a ballot revokes any prior ballot or proxy you may have submitted. If you have sent in proxies or voting via telephone or Internet and do not want to change their vote, you do not need to take any further action. The judge of elections will now count the vote. attendeeOn proposal 1, each of the 3 director nominees standing for reelection have received the affirmative vote of a majority of the votes cast for their reelection as directors of the company and are, therefore, reelected. On proposal 2, a majority of the shares present in person or represented by proxy at the meeting and entitled to vote were voted in favor of the ratification of the appointment of RSM U.S. LLP, independent public accountants as the company's auditors for the fiscal year ended September 30, 2021, and therefore, the proposal 2 has passed. On proposal 3, a majority of the shares present in person or represented by proxy at the meeting and entitled to vote were voted in favor of the nonbinding advisory resolution regarding the compensation of the company's named executive officers as disclosed in the proxy statement, and therefore, the proposal 3 has passed. And on proposal 4, a majority of the shares present in person or represented by proxy at the meeting and entitled to vote were voted in favor of the amendment to the company's 2014 long-term incentive plan, and therefore, the proposal 4 has passed. executiveThank you, Gary, and thanks to everyone attending our virtual annual shareholders' meeting today. This morning's discussion may include forward-looking statements as defined in the Private Securities Litigation Reform Act of 1995. These statements are subject to both known and unknown risks, many of which are discussed in our annual report and our SEC Form 10-K and 10-Q filings. First, I'll review our 2020 fiscal year, which ended on September 30, 2020, and I'll follow that with an update on the company through our first quarter of fiscal year 2021. Lastly, I will end my remarks with commentary on what may lie ahead for Geospace Technologies. Our 2020 fiscal year began on a remarkably positive footing. In the year that had just ended, our revenue had outperformed the previous year by 26%, representing a straight third year of increases and marking the highest annual revenue in 5 years. At a net loss of $0.01 per share, operations were on the brink of positive returns. Our balance sheet had increased its cash by $7 million, while at the same time, maintaining its long-standing debt-free position. All of this have been accomplished in the times of a depressed market for many of our oil- and gas-related products and services. With this backdrop, our 2020 fiscal year began October 1, 2019 with strong momentum and high optimism. In the first 3 months, nearly all 33,000 stations of our OBX marine node rental fleet were being utilized in performing rental contracts, and we also announced the sale of a land system comprised of 30,000 channels of our GCL land recording nodes. At the close of the first quarter, revenue was on track to be the highest first quarter revenue figure since December of 2013. But due to an OBX rental customers financial distress and inability to pay, it became necessary to write-down a portion of that. It was around this time when first mentions were heard of a new coronavirus emanating from Wuhan, China. And as the second quarter unfolded, impacts of the ensuing COVID-19 pandemic rapidly escalated throughout the world. At the onset, Geospace was largely unaffected by the pandemic. Our primary OBX rental contracts already in place remained on schedule. And as part of the U.S. government's designated critical infrastructure, our operations were able to continue without shutting down. At the end of the second quarter, revenue had decreased slightly from the year before, but still remained above second quarter figures from prior years. In our third quarter, we began to experience more of the negative economic effects of the pandemic. This was particularly true in our adjacent markets segment, where the shuttering of events and activities reduced demand for these products. Fortunately, revenue from ongoing rental contracts of our OBX systems was able to buffer some of these effects. And we were additionally lifted from the bad news of COVID by our award of a $10.5 million contract to provide the U.S. Border Patrol with a high-technology border security system in the coming year. As fiscal year 2020 ramped up, fourth quarter revenue was again driven by rentals of our OBX systems. And despite the impact of COVID-19, revenue for the full year closed at only 8% less than the previous year's total. During the year, we also generated over $18 million in cash from our operations. And through our conservative management, we ended with another [ standout ] balance sheet containing no long-term debt and total liquidity of over $50 million. With this stable foundation underpinning our technology and market strategies, we were in a great position to take on the challenges we will face in the new fiscal year. I'll now discuss the recently ended first quarter of fiscal year 2021. Spanning October 1, 2020 through December 31, 2020, our first quarter was filled with several noteworthy events, perhaps most significant were the 2 new additions to our Board of Directors, Margaret "Sid" Ashworth, Former Vice President of Government Relations for Northrop Grumman; and Kenneth Asbury, Former President and CEO of CACI International. They each bring a unique set of experiences from outstanding careers, adding fresh perspectives to our governance as well as offering insights for our navigation of expected increased governmental interactions. Our Board of Directors also authorized a stock buyback program for up to $5 million worth of our common shares. The discretionary purchases within the program depend on various factors and business conditions, but the program has no time limit. As of December 31, 2020, we had purchased a total of 117,637 shares under this program. As we just reported overnight, our first quarter of fiscal year 2021 recorded $28.5 million in revenue, an increase of 62% over the same period last year. This exceeds each of last year's 4 quarters and marks the highest first quarter revenue since the all-time high set 7 years ago. Included in this figure was our first sale of a large OBX marine nodal recording system to a well-known international seismic contract. The amount also included the first sale by our Quantum subsidiary of a high-technology border and perimeter security system to the U.S. Border Patrol. So whether what do we see ahead for Geospace in the coming year? Well, late in the fourth quarter of fiscal year 2020, we were approached by a large oil and gas customer to provide a bid proposal for our permanent reservoir monitoring system. Under the initial terms and conditions presented, we were unable to provide a bid, but we remain in discussions with this customer to try and solve the issues. This could lead to a new proposal request later in the year, but our peer in discussions with this customer as well as others are not likely to lead to revenue in fiscal year 2021. Nonetheless, a renewed interest in PRM seems to be developing among these oil and gas companies that are making it a priority to increase production from their existing reserves. We see a lull in rental contracts for our shallow water OBX systems at the present time, possibly picking up later in the year. Interestingly, this lull is partially filled by projects and quote requests for our deepwater OBX. According to Rystad Energy, over 75% of the new oil and gas discoveries, by volume in 2020, were found offshore, and of these, nearly 2/3 were in deep or ultra deepwater. Our OBX systems are tailor-made for providing the clearest seismic images available at offshore areas. And the desire for quality images of these and other offshore fields could very well lead to more utilization of both our shallow and deepwater OBX. We are currently in the final stages of fulfilling our contract with the U.S. Border Patrol to provide them with a high-technology border perimeter security system. The proprietary seismic acoustic data analytics we've incorporated in this system provide features and capabilities not seen before. While we presently have no other significant contracts for these systems, we are confident that the benefits and high value of this information they provide will lead to additional contracts with both government and commercial customers. As we look further into 2021, we know there will be challenges. The battle over COVID-19 is not yet won. And as the world's economy grapple for stability, we will see new ups and downs. And steering the course, we must remember that Geospace, at its core, is a technology-focused company, providing multifaceted engineered solutions to a wide range of markets. Our highly acclaimed seismic instrumentation and sensors used in the oil and gas industry are by far our most widely known products, and we intend to keep them at the pinnacle of industry choice. Likewise, we intend to continue the creation of innovative technological solutions and products serving our growing adjacent and emerging markets. The breakthrough border security system we created with our Quantum subsidiary for the U.S. Border Patrol is a formidable example of our technology-focused path, and we intend to keep this pipeline of ideas in products flowing. What lies ahead for Geospace may include a few rocks in the road, but we believe our strategy and financial strength give us the right tools to prosper. Let me now take the opportunity to acknowledge the tremendous teamwork of our loyal employees. They have risen above and beyond all expectations in the fight against COVID-19, all the while steadfastly serving the needs of our customers. I also want to thank our valued shareholders who share our vision of achieving prosperity and long-term value through the innovation and delivery of unique technology solutions to customers in our varied and diversified markets.
