My name is Adam Kleinman, and I'm the Corporate Secretary of Great Elm Group Inc., a Delaware corporation, and have been appointed to conduct this meeting. It is 8:30 a.m., and I am pleased to call to order the annual meeting of stockholders of GEG. Due to the ongoing public health impact of the coronavirus pandemic and to support the health and well-being of our stockholders, employees and their families, we are holding the meeting virtually. In order to provide a fair, informative and orderly meeting, we have established rules of conduct for this meeting. Your cooperation and observing the rules of conduct is greatly appreciated. During the meeting, stockholders will have the opportunity to submit questions relevant to the matters being voted on at the annual meeting. We will do our best to respond to appropriate questions in the time permitted during the Q&A portion of the meeting. Certain of GEG's Director nominees are in attendance electronically at today's meeting. Biographical information about each of our directors and the Board committees on which they serve is listed in the proxy statement. Members of GEG's leadership team are also in attendance electronically at today's meeting. Let me introduce Christopher J. Woods of American Election Services, LLC. Mr. Woods has submitted an oath to act as inspector of elections for this meeting. This meeting has an affidavit of mailing of Broadridge with respect to GEG's notice of Internet availability of proxy materials and proxy statement dated April 16, 2021, in the related proxy card. The inspector has confirmed that the holders of shares of stock entitled to cast a majority of all the votes entitled to be cast at this meeting are present, either in person or by proxy. Thus, a quorum has been established. We will proceed to consider the business of the meeting. Voting today is by proxy and online ballot. Most of our stockholders previously authorized a proxy to vote their shares, and their shares are being voted accordingly. Any stockholder who has not authorized a proxy to vote his or her shares or who wishes to change his or her vote may do so by following the instructions provided. Stockholders who have submitted proxies or have previously authorized a proxy to vote by Internet, telephone or mail and do not wish to change their vote, do not need to take any further action. Your votes will be counted automatically. The polls are now open with respect to the 3 items of business to be considered at this annual meeting of stockholders of GEG. One, election of each of Matthew A. Drapkin; Thomas S. Harbin III; James H. Hugar; James P. Parmelee; Peter A. Reed; Jason W. Reese; Eric J. Scheyer; and Jeffrey S. Serota to serve as members of the Board of Directors of GEG until the earlier of his death, resignation, removal or election of his respective successor. Two, ratification of the selection of Grant Thornton LLP to serve as GEG's independent registered public accounting firm for the fiscal year ending June 30, 2021. And three, approval on an advisory basis of the compensation of GEG's named executive officers as detailed in the proxy statement. I will now pause briefly to allow stockholders to vote on these matters. [Voting]
