Good morning, and welcome to this reconvened special meeting of Stockholders of NRx Pharmaceuticals, Inc. My name is Stephen Willard, I'm the Chief Executive Officer of the company. I'm joined today by Seth Van Voorhees, the company's Chief Financial Officer; and [ Michael Cook, ] our General Counsel and Corporate Secretary. As we did last time, we will begin today with the formal part of the program, during which we will ask to shareholders to approve the issuance of shares of our common stock to Streeterville Capital LLC in accordance with NASDAQ Listing Rule 5635 D in the hole. The meeting is now called to order. To close of business on January 9, 2023, was set as the record date for stockholders entitled to notice of and to vote at this meeting. As of the record date, [ 67,695,914 ] shares of common stock were outstanding and entitled to 1/3 each on all matters properly before the meeting. Also available for inspection by the stockholders is the affidavit of mailing prepared by Continental Stock Transfer and Trust Company, are transferring certifying to the time they made on or about January 13, 2023 of the notice of the meeting and proxy statement to all stockholders of record on the record date. Under the company's bylaws, the presence in person or by proxy of the holders of a majority of the outstanding shares entitled to vote will constitute a quorum. We will take a moment to ask for the Inspector of Elections to [indiscernible] to acquire.
