Based on the scrutineers' report, which shows that a quorum is present, I declare that this meeting is regularly called and properly constituted for the transaction of business. I direct that a copy of the scrutineers' report on attendance be kept with the records of the meeting. All right. We will now continue with the meeting then. And the next item of business is the election of Directors, the nominees for election and their respective backgrounds who are identified in the management information circular mailed to shareholders. The nominees for election are as follows: Robert Stabile, Andrew Day, Lee Matheson, Paul Yancich, Dan Goldsmith, Ryan Morris, Anuroop Duggal and Demetrios Anaipakos. I will now entertain a motion nominating each of these -- each of those persons for election as Directors.

Mr. Chairman, so from this [ company's ] perspective, and I think shareholders want to know, it seems like there's been a [indiscernible] strong line in [indiscernible] from the transition ESW nominees to EdgePoint and Maple Rock. And we're just wondering, and I think shareholders want to know, how has this transition benefited the company? And what value has it brought to shareholders?

Robert Stabile

executive
#10

During the refinancing, there were some negotiations that we're not going to debate here at this meeting with respect to supporting shareholders who backstop that financing. And they support the names, acknowledging that they needed -- that they required Board members to replace some of the ESW nominees that had enterprise software experience. And if you read the information in the bios relating to these individuals, you'll see that they're certainly qualified in bringing that kind of experience. All right. The vote will now be completed by ballot. Please complete your ballot, and I will give you a moment to do so. [Voting]

Robert Stabile

#11

All right. We will now continue with the meeting. The next item of business is the appointment of the auditor. I ask for a motion that KPMG be appointed auditor of the company until the next annual meeting of the company and that Directors be authorized to fix the auditors' remuneration.

Mark Manalo;Computershare;Relationship Manager

I so move.

Unknown Attendee

attendee
#15

[indiscernible] So you mentioned the old earnings release that you're [indiscernible] also over starting by ESW related to -- through related part of the agreement. And we wanted to understand if you have a feel for the scale that [indiscernible] magnitude is like $1 million problem? A $10 million problem? Something more than that, something less than that? And it is a big problem. It -- does it make us derivative to our [indiscernible].

Robert Stabile

executive
#16

So thank you for your question. So that topic is not really relevant for the fixing of the auditors in appointing KPMG again for this year. As we said in the press release, we are still reviewing that. And the company has not made any assessment on the magnitude or what actions need to be taken further at this point.

Unknown Attendee

attendee
#17

So you're concerned that the problem is big? But you have no [indiscernible]?

Robert Stabile

executive
#18

Again, this is really not a matter to be discussed at this topic, under this appointment of the auditors.

Unknown Attendee

attendee
#19

I mean I think our concern is, if the auditors have missed [indiscernible] then it's kind of relevant, right, in that context?

Robert Stabile

executive
#20

I don't think the auditors' role is to scrutinize whether a vendor is providing services that are -- that the company is receiving, let's say, the adequate value from its vendors. Vote will now -- the vote is -- sorry, the vote will be completed by ballot. Please complete your ballot regarding the appointment of the auditor, and I will give you a moment to complete your ballot. [Voting]

Robert Stabile

#21

And we will now continue with the meeting. The next item of business is to pass the resolution to ratify and adopt the company's bylaw #2, relating to the advanced notice requirements for the nomination of directors. Can someone please move to approve the resolution, a full text of which is included as Schedule I to the management information circular, to ratify and adopt the company's advanced notice bylaw.

Mark Manalo;Computershare;Relationship Manager

attendee
#22

I so move.

Kate Stevens;Computershare;Manager, Client Services

attendee
#23

I second the motion.

Robert Stabile

executive
#24

I now put the motion to the meeting. Is there any discussion on the matter? Okay. Do you want to come up to the microphone hub?

Unknown Attendee

attendee
#25

I believe this is in relation to the capital structure [indiscernible] I really would like to share that [indiscernible] shareholders [indiscernible] shareholders of this company, the costs and other [indiscernible] structure that we [indiscernible].

Robert Stabile

executive
#26

This bylaw #2 that we are looking to adopt is -- was something that was recommended by the special committee back in, I believe it was January. So the movement -- or the motion we are looking to approve here has nothing to do with the outcome and the findings of that special committee review. And so I don't think there's -- this is the appropriate time to address that question and that review. And that is something that was completed by the special committee. And I guess, it's something that is privileged information within the company, not disclosed to the public. The vote will be completed by ballot. Please fill out your ballot, and I'll give you a moment to complete your ballot. [Voting]

Robert Stabile

executive
#27

And now we will complete our -- we will continue with our meeting. The next item of business is to pass the resolution to ratify the company's shareholder rights plan, a summary of which can be found in the management information circular and the full text of which is available on SEDAR. Will someone please move to approve the resolution, the full text of which is included as Schedule III to the management information circular approving, ratifying and confirming the company's shareholder rights plan?

Mark Manalo;Computershare;Relationship Manager

attendee
#28

I so move.

Kate Stevens;Computershare;Manager, Client Services

attendee
#29

I second the motion.

Robert Stabile

executive
#30

I now put the motion to the meeting. Are there any discussions on the matter?

Unknown Attendee

attendee
#31

So [indiscernible]. It seems the shareholder rights plan is designed to [indiscernible] existing with ESW practices because of any recent products. In communication, we've seen quite bad actions when ESW had full control. We specifically mentioned overture, [indiscernible] probably [indiscernible].

Robert Stabile

executive
#32

I don't think the shareholder rights plan is in relation to that. It is just to ensure that all shareholders are treated equally and to ensure that any offer put forth by a third-party that is unsolicited and nonbinding will properly -- follow the proper course.

Unknown Attendee

attendee
#33

Okay. And then we've done an offer [indiscernible] there right now is, we don't think everybody knows other, it's $50 a share. Do you expect shareholders to be able to sell the higher price of $50 in the year-over-year in terms? And if so, when and what's your plan to get there?

Robert Stabile

executive
#34

It's not the Chairman's position to speculate on stock market price. So I'm not going to address that part of it. I will say, the company continues to operate in its normal course. The executives in place that have remained continue to do what's in the best interest of the company. As a Board being reconstituted after today's meeting, there will be some discussions around how to support actions that will enhance shareholder value.

Unknown Attendee

attendee
#35

[indiscernible] again with ESW. Just to go back to the statement you made earlier, Chairman, about the [indiscernible] not being [indiscernible]. I mean that seems slightly disingenuous given the timing.

Robert Stabile

executive
#36

No. I was referring to, it's not in response to their accusation. Someone's implying that there was bad actions by them.

Unknown Attendee

attendee
#37

Okay. So what was the impetus for the implementation of the rights?

Robert Stabile

executive
#38

It ultimately was, control is removed from one shareholder, and we wanted to ensure all shareholders are properly and adequately protected from a second move to take control by one particular shareholder group.

Unknown Attendee

attendee
#39

Okay. And are you aware, based on the wording of the plan, whether Maple Rock and EdgePoint are exempt from [indiscernible] person's definition due to the fact that they are [ funds ]?

Robert Stabile

executive
#40

I will just refer maybe with counsel just to ensure that I'm understanding your question and the definition adequately. Do you mind if we take a quick recess?

Unknown Attendee

attendee
#41

Sure.

Robert Stabile

executive
#42

It's Robert here, I'm back. Well, as counsel advised, the definitions are of the rights plan and the terms defined are in the circular and disclosed. And it's not the opportunity or my position to speculate on whether any of these -- well, whether Maple Rock or EdgePoint would qualify or be excluded from these definitions. But there are definitions -- there are [indiscernible] -- there are provisions for institutional investors, and that is, again, defined in the disclosure documents.

Unknown Attendee

attendee
#43

What about either considering -- consider amending the terms of the plan, such that it's clear that Maple Rock and EdgePoint to not be carved out, given their current position?

Robert Stabile

executive
#44

And that is something we have not contemplated. And I think at this point, we would have to reconvene with the special committee to discuss whether that was something in the best interest of the company and its shareholders.

Unknown Attendee

attendee
#45

Any sense of whether that came up during the special committee consideration of the plan?

Robert Stabile

executive
#46

That did not come up. Mark?

Unknown Attendee

attendee
#47

[indiscernible] I guess just on the topic of [indiscernible] so you are in a situation in our company, where you're a public company is very [indiscernible]. It's very low [indiscernible] just trying to understand that how the [indiscernible] when there's currently a $50 offer at your company [indiscernible]. Most shareholders don't really have to [indiscernible] to get out of their losses if there's a $50 offer on the table. [indiscernible].

Robert Stabile

executive
#48

And just to be clear, the shareholder rights plan was something proposed by the special committee. The special committee is following its due course to evaluate the ESW offer. We're not -- we have not made a decision on whether the price or the offer is the right price or is something that we recommend to shareholders yet. We're following a process to evaluate that. The reasoning for the rights plan is to ensure that proper procedure is followed by a -- when a takeover bid is made. The current offer is nonbinding and has many caveats to it. So we are -- again, there's a special committee pursuing the due process to evaluate that. With respect to protecting, in your question, around minority or small shareholders, as you may say, what we're trying to protect from is the instance where a creeping takeover happens, ESW and its joint actors do acquire we call it, 50-plus percent of the shares outstanding and no longer have any reason to buy any further shareholders as shares from them at any price. And liquidity would be -- continue to be tight or low. And there'll be no incentive for anybody to take them out at the prices that were paid for the few shares that we acquire.

Unknown Attendee

attendee
#49

Just getting client rationale, thank you for [indiscernible]. And as you just described, it looks like Maple Rock and EdgePoint are carved out and, as a result, can make [indiscernible]. How do you reconcile the continued sort of value there [indiscernible] the situation there?

Robert Stabile

executive
#50

The special committee discussed the risk council, which is an independent council, on what the right threshold was. And that was a debate that was done in confidence. I mean, we're not, at this point, willing to disclose any further information on that front.

Unknown Attendee

attendee
#51

All right. So I ask you again because it's kind of like disingenuous to say [indiscernible] when a scrutineer get [indiscernible] largest shareholder or carved out [indiscernible]?

Robert Stabile

executive
#52

Well, there -- they would face the same thresholds as any other shareholder.

Unknown Attendee

attendee
#53

So due to the fact that they don't -- they're carved out and beneficial ownership definition by their [indiscernible]. So [indiscernible] in-person [indiscernible] to the blip in the management tier. It looks like it was overlooked, but it seems like quite a significant oversight that we do not include [indiscernible].

Robert Stabile

executive
#54

Well, I appreciate the comments and it's noted. Thank you. All right. The vote will be completed by ballot now, and I will give you a moment to complete your ballots. [Voting]

Robert Stabile

executive
#55

The next item of business is to consider, and if deemed advisable, to pass the resolution to approve all of the unallocated stock options issued under the company's option plan until August 18, 2023. Would someone please move to approve the resolution, the full text of which is included as Schedule III to the management information circular to approve all the unallocated stock options issued under the company's option plan until August 18, 2023?

Mark Manalo;Computershare;Relationship Manager

attendee
#56

I so move.

Kate Stevens;Computershare;Manager, Client Services

attendee
#57

I second the motion.

Robert Stabile

executive
#58

I now put the motion to the meeting. Is there any discussion on the matter? The vote will be completed by ballot. Please take a moment to complete your ballot. [Voting]

Robert Stabile

executive
#59

The polls are now closed for all items of business. Following a short recess for the tabulation of the ballot results, the scrutineer will provide a report to me on the results of the vote, and I will report these results to the meeting. For the health and safety reasons, please remain in your seat and maintain social distance protocols during this time. I will now call the recess. [Break]

Robert Stabile

executive
#60

All right. So we'll resume the meeting after receiving the ballots or the tabulation of the ballots by our scrutineers. Just wanted to make one comment to clarifying something from earlier when the proxy for ESW asked a question. After confirming with counsel, I wanted to clarify the statement made regarding the rights plan. The threshold is 30%, period. The comments made earlier in questioning are incorrect. The threshold applies equally to all shareholders. There's never any intention to exempt any shareholders, including Maple Rock or EdgePoint, from the plan. I would also note that this plan is entirely consistent with similar plans adopted by Canadian issuance. So thank you all for your patience. As I said, I received, from the scrutineers, the report on the ballot. And based on the scrutineers' report, I declare that each of the matters set forth in the management information circular and as considered at the meeting have been approved. Consistent with the company's customary practice and as required by securities law, we will issue our detailed report on voting results after the meeting. As I'm aware of no other business, I would then please move to conclude the meeting.

Mark Manalo;Computershare;Relationship Manager

attendee
#61

I so move.

Kate Stevens;Computershare;Manager, Client Services

attendee
#62

I second the motion.

Robert Stabile

executive
#63

All in favor, signify by raising your hand?

Unknown Attendee

attendee
#64

[indiscernible]

Robert Stabile

executive
#65

Sure.

Unknown Attendee

attendee
#66

I just wanted to share the exact [indiscernible] as a result of the [indiscernible]?

Robert Stabile

executive
#67

I'll defer to the customary results, customary procedures. Yes, they'll be filed on SEDAR, yes.

Unknown Attendee

attendee
#68

Thank you.

Robert Stabile

executive
#69

You're welcome. All right. [indiscernible] show of hands. Any contrary? I declare the motion carried and the meeting concluded. Thank you all for your time today. Operator, that concludes this Annual and Special Meeting of Shareholders of Optiva Inc.
