executiveWelcome all to the 2020 Regis Corporation Annual Meeting of Shareholders. Thank you, friends, guests, customers, stylists and shareholders. Before we begin the business portion of the meeting, I'd like to introduce the members of the Regis Corporation Board of Directors who are standing for election this year. They are our Chairman, Daniel Beltzman, General Partner of Birch Run Capital Advisors LP; Virginia Gambale, Managing Partner of Azimuth Partners LLC; David Grissen, Group President, Americas of Marriott International, Inc.; Mark Light, Chairman of Bedrock Manufacturing and Former Chief Executive Officer and Board Members of Signet Jewelers Limited; Michael Merriman, Chairman of CR Brands and Chairman of Nordson Corporation; Ann Rhoades, President of People Ink, Incorporated; and our Chief Executive Officer, Felipe Athayde. I would also like to introduce Tony Carideo, our inspector of elections from Carideo Group, who is with us today to certify the voting. Before Felipe makes his remarks and we answer any questions, we do have certain formal housekeeping matters that require us to have a portion of this meeting scripted. First, notice of this Annual Meeting of Shareholders was first sent out on September 16, 2020. The shareholders of record as of the close of business on August 31, 2020, are entitled to vote or signed proxies for this meeting. Of the 35,626,077 shares outstanding as of August 31, 2020, 32,877,169 or approximately 92.28% are represented at this meeting, either in person or by proxy. Therefore, this constitutes a quorum, and we declare this meeting duly organized. This year's shareholders have been asked to consider and approve 3 proposals. The first proposal is to elect 7 directors to the Regis Board of Directors to serve for 1-year term and until their successors are elected and qualified. The following persons have been nominated: Felipe Athayde, Daniel Beltzman, Virginia Gambale, David Grissen, Mark Light, Michael Merriman and Ann Rhoades. Second is the approval on an advisory basis of the compensation of our named executive officers, which is more commonly referred to as the say on pay proposal. Third is the ratification of the appointment of PricewaterhouseCoopers as Regis' independent registered public accounting firm for 2021. I have been advised that a sufficient number of affirmative votes have been received by proxy in favor of each of the prior 3 proposals. Therefore, the directors have been elected, the compensation of our named executive officers has been approved, and the appointment of PricewaterhouseCoopers has been ratified. We will now adjourn the formal portion of the meeting. Thank you all for voting and for attending our shareholder meeting this year. executiveGood morning, and thank you for joining us for the 2020 Annual Meeting of the Shareholders of Regis Corporation. My name is Felipe Athayde, and I'm the newly appointed President and CEO of Regis Corporation. I am very excited to be joining this amazing company. And even though these are, of course, uncertain times, I believe that in certain times always open new possibilities. I firmly believe that people's interest in looking their best is very powerful. And as such, I believe core demand for hair salon services is and always will be inherently strong. Regis has already built the foundation for us to seize today's very real opportunities. Some of you may know that I recently served as the President of the Americas for Popeyes Louisiana Kitchen, where I led the successful revitalization of the brand, resulting in some of the largest all-time same-store sales increases in the industry as well as the recovery of Popeyes following the COVID-19 pandemic. Some have asked why I'm excited to have made the transition to Regis. And the answer is simple. I have long known and admired Regis' brands as leaders in the beauty industry. With some of the most iconic brands in North America, a strong network of franchisees, an innovative customer-facing technology, Regis is well positioned for growth even in the current environment. I look forward to working closely with the senior management team, with the Board, and Regis' dedicated franchisees and employees to build on the company's momentum and further enhance the customer experience across Regis' brands. On behalf of Regis Corporation, I would like to welcome all of our shareholders to our Annual Meeting, and I am thankful for your continued support, feedback and encouragement as we enter this new fiscal year.
