Earnings Call Speaker Segments
Edward Atsinger
executiveLadies and gentlemen, may I have your attention, please? Will the meeting please come to order? Our first order of business today is to welcome you to this Virtual Meeting of all Stockholders of Salem Media Group, Inc., persons acting as proxies for stockholders and invited guests. I'd like to introduce the presenters for this meeting. My name Mr. Edward G. Atsinger III, and I am Chief Executive Officer and Board member of Salem Media Group, Inc. Also presenting is Christopher J. Henderson, our Executive Vice President, Secretary and General Counsel. I will serve as Chairman for this meeting, and Chris will serve as Secretary.
Christopher Henderson
executiveGood morning. Before we continue, I would like to attend to a few housekeeping matters. Copies of the agenda and meeting rules have been placed in the Meeting Materials section on the web portal. For those registered stockholders who have not yet voted or wish to revoke their proxy, you may vote by clicking on the Q&A button on the lower right corner of the web portal and follow the instructions there. Thank you.
Edward Atsinger
executiveOur next item of business, for the next item I'd like to ask Mr. Eric Halvorson to give our invocation. Mr. Halvorson is a valuable member of our Board of Directors. Eric?
Eric Halvorson
executiveThank you, Ed. Our Lord and our God, as we gather today in this virtual setting, we welcome your presence among us. We start this prayer with 2 very specific requests. First, we humbly pray that you would touch the country of India today and cause healing for those who are suffering from the coronavirus crisis in that country. Second, and very specifically, we ask also that you would protect those innocent children who were caught up in the crisis on our Southern border. We then pray that you would heal the ongoing political divisiveness in our country that prevents our fellow citizens and our elected representatives from reasoning together and developing solutions to our problems that never seem to lessen but only to expand. And above all, we ask for spiritual and moral renewal in our country and throughout the world. For without this renewal, we fear that the very fabric of our society is at risk of being torn in a way that cannot be mended. And finally, we offer our prayer for those employees of Salem across the country who are working faithfully to maintain the company's mission. May you strengthen and encourage them. We pray this in the name of Jesus, the one who loved us and gave himself for us. Amen.
Edward Atsinger
executiveThank you, Eric. In addition to Mr. Halvorson, the following directors are also attending this virtual meeting: Stuart W. Epperson, Richard Riddle and Heather Grizzle. I'd like to take a few moments to introduce the following officers of the company who are on the call as well: David Santrella, President of Broadcast Media; David Evans, President of New Media; and Evan Masyr, Executive Vice President and Chief Financial Officer. I would also like to introduce Kyron Johnson. Mr. Johnson has been appointed to serve as the inspector of elections for this meeting, and he has executed the oath of inspector of elections, which we attached to the minutes of this meeting. So we'll call the meeting to order. This meeting has 2 parts. First, we will convene the official stockholders meeting for the purpose of electing directors and voting on a business proposal, as listed in the notice of meeting and proxy statement. We will then adjourn the official meeting. Second, after we conclude the official stockholders meeting, we will answer questions submitted through the web portal to management and the Board. Turning now to the stockholder meeting. Chris, have we satisfied the notice and quorum requirements necessary to declare the meeting open for business?
Christopher Henderson
executiveYes, we have. Notices of this meeting were sent on or about March 25, 2021 to the company's stockholders of record, and proxies were solicited by the Board of Directors from all stockholders entitled to vote. I have a certificate as to the mailing of the notice, which will be attached to the minutes of this meeting. A record of the company's stockholders as of March 10, 2021 has been made available online on www.virtualshareholdermeeting.com/SALM2021 for inspection of any stockholder. Furthermore, I have Mr. Johnson's report that approximately 96% of the total combined voting power of Class A and Class B common stock is represented at this meeting in person or by proxy and that a quorum is present.
Edward Atsinger
executiveAll right. Well, based on that report, I declare the meeting open for business. The polls are now open for all matters scheduled to be voted upon at this meeting and will remain open until the official stockholders meeting adjourns. The first item of business is the election of 5 directors. As described in the proxy statement, the Board's nominees for election are: Edward G. Atsinger III, Stuart W. Epperson, Richard A. Riddle, Eric H. Halvorson and Heather W. Grizzle. No other nominations have been received by the company and the nominations are now closed. The proposal for the election of directors appears on Page 27 of the proxy statement. Of these nominees, Richard A. Riddle and Eric H. Halvorson are nominated by the Board as independent directors for whom the holders of Class A common stock are entitled to vote as a class, exclusive of holders of Class B common stock. Each of the other 3 nominees is to be elected by the holders of Class A and Class B common stock but voting as a single class with each share of Class A common stock entitled to 1 vote per share and each share of Class B common stock entitled to vote 10 votes per share. The next item of business is to vote upon a proposal to ratify the appointment of Crowe LLP as the company's independent public accounting firm. The proposal to ratify the appointment of Crowe LLP as the company's independent registered public accounting firm appears on Page 28 of the proxy statement. Each of these items will now be put to a vote. Those stockholders who are attending and who have not returned a proxy card and wish to vote, may do so by clicking on the Voting button on the web portal and follow the instructions there. Those of you who have previously delivered your proxy will not need to vote again unless you are revoking your proxy and wish to vote during this meeting. [Voting]
Edward Atsinger
executiveI think we'd probably have most of the votes in. So will the Secretary now report the results of voting?
Christopher Henderson
executiveThe preliminary report of the inspector of elections covering the proposals presented at this meeting is as follows: first, the company received proxies from the holders of Class A common stock authorizing the proxy holders to cast more than 53% of the outstanding voting power of Class A common stock for each of the Board's nominees for independent director seats. And as proxy holder, I hereby cast those votes accordingly. The company received proxies from the holders of Class A and Class B common stock, authorizing the proxy holders to cast more than 87% of the outstanding voting power of Class A and Class B common stock for each of the Board's remaining nominees to the director seats. And as proxy holder, I hereby cast those votes accordingly. Based on the votes of the stockholders either in person or by proxy and on the inspector of elections' preliminary report, the proposal to elect each of the Board's nominees for independent director seats and elect each of the Board's nominees to the remaining director seats has been approved. Secondly, the company received proxies from the holders of Class A and Class B common stock authorizing the proxy holders to cast more than 94% of the outstanding voting power of Class A and Class B common stock for the proposal to ratify the appointment of Crowe LLP as the company's independent registered public accounting firm. And as proxy holder, I hereby cast those votes accordingly. Based on the votes of the stockholders either in person or by proxy and on the inspector of elections' preliminary report, the proposal to ratify the appointment of Crowe LLP as the company's independent registered public accounting firm has been approved. For more information about the details of the vote for each of the proposals, please feel free to contact me. We will include an actual tabulation of the votes in the minutes of this meeting.
Edward Atsinger
executiveAll right. Thank you, Chris. Based upon the preliminary report from the inspector of elections that the Board's nominees have received sufficient votes to be elected and each proposal has received sufficient votes to be adopted, I declare the Board nominees elected and the proposal adopted, subject to the inspector's final tabulation of votes. As described in the proxy statement under the company's bylaws, there is a specified process for bringing official business before the stockholders. With the exception of the election of the Board of Directors in order for a stockholder to bring a matter of business or a proposal before this meeting, one must provide proper notice of the matter of business or proposal to the Secretary of the company, and such notice should have been received by the Secretary of the company not later than November 26, 2020. As this was not done, no further business or proposals may be brought before this meeting, and I now declare the polls closed. Since there is no further business before this meeting, this Annual Meeting of the Stockholders is officially adjourned. However, as you can see from the agenda, I will turn the meeting over to Mr. Henderson for the question-and-answer period.
Christopher Henderson
executive[Operator Instructions] We'll wait a minute or so to see if we get any questions. No questions have come in.
Edward Atsinger
executiveWell, all right. Thank you all for participating. This concludes all that we have planned for today. On behalf of the Board of Directors and the employees of Salem Media Group, Inc., thank you for your interest and participating in this virtual meeting. I now declare the meeting adjourned.
