executiveGood morning, ladies and gentlemen. Welcome to the Annual Meeting of the stockholders of Sportsman's Warehouse, Inc. We are excited to host our first annual virtual meeting over the Internet. I will act as Chairperson of the meeting. Our Corporate Secretary, Robert Julian, will act as Secretary of the meeting. I'd like to take this opportunity to introduce to other directors and officers of the company who are present. Martha Bejar, Christopher Eastland, Gregory Hickey, Richard McBee and Phillip Williamson. The officers present are Jon Barker; and Robert Julian. Also participating in today's meeting from the accounting firm, KPMG LLP, Sportsman's Warehouse independent registered public accounting firm is Jason Wendel. The agenda and the rules of the procedures for today's meetings are available on our Investor Relations website. Stockholders who possess a control number and desire to ask a question during the meeting may do so by typing the question into the appropriate box or indicated on the webcast portal and pressing the send button. We will respond to appropriate questions about the proposals being voted on today after all the proposals have been presented. Only the stockholders who possess a control number will be permitted to ask questions. All other appropriate questions will be answered after the meeting, and the answers will be posted to our Investor Relations website following the meeting. On the record date of April 13, 2020, there were 43,298,934 shares of common stock outstanding and entitled to vote at this meeting. Stockholders holding at least 84% of the outstanding voting power of all shares of common stock and type of the vote are present at this meeting virtually or represented by proxy.

executiveI declare a quorum is present, and I now call the meeting to order. The company has appointed Equiniti Trust Company as inspector of the elections. If you've already submitted a proxy by telephone, Internet or mail to authorize how your shares of common stock will be voted at today's meeting, your vote is already in and counted. If you have not already submitted your proxy or if you desire to revoke your prior proxy and want to vote today at the annual meeting, you may do so by following the instructions on the webcast portal. Please note that if you're a beneficial owner of shares held in street name through a broker, bank or other nominee, you may vote by ballot at today's meeting only if you have a valid legal proxy for your broker, bank or other nominee giving you the right to vote your shares in person. I will now proceed with introducing each of the items of business at today's meeting. The first item of business is the election of 2 directors to serve a term that expires at the annual meeting of stockholders in 2023. The Board of Directors have nominated Mr. Jon Barker and Mr. Gregory Hickey for election. Because no other nominations were received in accordance with the advance notice provisions of our bylaws, all nominations are now closed. The second item of business for proposal -- to proposal is to ratify the appointment of KPMG LLP to serve as our independent registered public accounting firm for the fiscal year 2020. The third item of business is a proposal to approve on an advisory basis, our named executive officer compensation. The fourth and final item of business in the proposal is to approve on an advisory basis, the frequency of future advisory votes on named executive officer compensation. That concludes the introduction of all matters requiring stockholders' vote. We anticipate taking questions. Are there any questions? Once again, if there are any questions, please submit them. Since we have not received any questions, I'll continue. The polls are now open and stockholders will now vote on the proposal. The voting today is by proxy and electronic ballot. As stated earlier, if you have already submitted a proxy by telephone, Internet or mail and do not wish to change your vote, you do not need to do anything else at this time. Any stockholder who has yet to vote or wishes to change his or her vote may do so by following the instructions on the webcast portal. If you have not yet submitted your proxy or electronic ballot, you must submit your electronic ballot now in order for your vote to be counted by the inspector of elections. We will leave the polls open for approximately 2 minutes to allow anyone chooses to vote electronically to cast their ballots. [Voting]

According to the polls -- accordingly, the polls are now closed and the voting on the matters set forth in the notice of the annual meeting is now concluded.
