Earnings Call Speaker Segments
Sven Bosman
executiveOkay. Let's go. Thank you very much, everybody, for joining. I hope you see my screen in the meantime. So today, I will talk about -- a bit about -- the presentation itself will be in Dutch, but I will speak in English. First of all is what we will handle today is, first of all, the portfolio itself, the real estate portfolio, how it looks like, what is the spread over the different tenants; some major economic factors that have passed this year, some financial results; how is our outlook for the real estate market and the outlook for 2023. First of all, if we look to our portfolio, I think similar to prior year, we still look to inner city property located in the cities, Antwerp, Brussels, Ghent and Bruges. We have several retail parks on a good location. I think [indiscernible] is one of the good locations in our portfolio. Every retailer still wants to be there in [indiscernible] . We have [indiscernible] , but also on the [indiscernible] here in [indiscernible] , it's also a very good location. On the other side, we have our occupancy rate, which is 99.5% at the end of the year. Prior year, it was 99.3%. And overall, over the year, we always had an occupancy rate of more than 99%. So I think that's one of the topics which was very good and which we can be proud of, I mean, knowing that Inner-city retail still has a hard time what we read in the press. But on the other side, we still managed to get a good occupancy rate. In terms of valuation, the value of the portfolio decreased from EUR 314.5 million to EUR 312.6 million. That decrease is mainly in the second half of 2022 that it happened. So if you look to our half year results, we were then almost breakeven in the fair value of our portfolio. Of course, the spreads started to increase and the yields have been changed. However, the yields decompression was not that big compared to other sectors in real estate because, of course, we were hit already by COVID in the past, where we had already some yield compression in the past. If you look to it, it's in total, we have now 6.5 -- 6.05% of an average yield on our portfolio, which is quite high still for an inner-city real estate portfolio.
Unknown Attendee
attendeeSven, can I interrupt you?
Sven Bosman
executiveYes.
Unknown Attendee
attendeeCan I just ask you, the value losses were quite small despite this yield compression. Can we say that it was very much compensated by higher ERVs?
Sven Bosman
executiveERVs have not yet been changed, [ Herman ]. Of course, the rental incomes have been increased due to the indexation. But the -- but on the, how would I say, the rental income increased, but the ERVs, they were kept stable. Only a limited number of ERVs have been changed. But all in all, we didn't saw big movements in ERVs, to be honest. So it might be in the future, of course, that they do some changes in ERVs. The total surface did not move. We did not do any sale nor any investment over the last year. So this number of units is still 155. The spread we have, this is an important one, is -- that is explained in terms of fair value. So you see that the 19% is -- 19% in Brussels is in fair value expressed. In terms of rental income, this represents 15%. That's also what we have in our press release that the impact of the potential ordinance that has been communicated in Brussels will be a maximum 15% of the rental income. I don't think I have to go too in depth in that one. In terms of spread to the different sectors -- segments, we still see, of course, fashion is quite big at 52%. I think last year, it was 51%. So just a small shift. Where possible, we try to move and decrease our fashion part. But of course, if we have 2 tenants and fashion pays a much more higher premium compared to a non-fashion retailer, we still like to go for a fashion retailer. On the other hand, not many contracts came to an end. So that also not a possibility to change, of course, our tenant mix. Major or the important factors that were there, the economic developments this year, I think, first of all, is the war in Ukraine which had a significant impact. So the war in Ukraine, we already had some problems with the delivery of raw materials just after reopening from the COVID period. We also have the ship in the Panama -- in the Suez Canal at that moment, which also, yes, had some problems in the chains. We had a decrease in consumer trust, and that resulted all in all in an exuberant high inflation. And so in October, we had in Belgium an inflation of 12.27%. The inflation figures start to decrease. So we have -- in January, we were at 8.05%. Important to note is that also the core inflation in January 2023 in Belgium was also 8.05%. So they are, again, leveling out each other. And yesterday, I saw the newspaper also that the gas prices also decreased to less than EUR 60 per megawatt. So also that one, we see that it's starting to decrease. But all in all, this high inflation ensured that there was a reaction from the European Central Bank. They increased, of course, a lot their interest rates, which had a significant impact on the real estate stock-listed companies. Vastned all in all was not that hit -- Vastned Belgium was not hit that hard. The reason is that we have a low debt ratio at this moment. And if I look to the article from the Dutch, which has been published in December, on a year-on-year basis, we had a 10% increase in our stock. So the analysis that the Dutch did was the stock price at the beginning of the year compensated for the dividend that has been paid out and for the stock price at the end of the year. So all in all, we had a much nice movement of our stock. Of course, this brings us to the indexation inflation -- also results in higher indexation. It became a big point of attention for all the tenants. Of course, all the tenants came and ask again if we could give some waivers or limit, put the cap on the indexation, whereas we said, okay, no, we will not give that cap on the inflation -- on the indexation. And the main reason why we would not put the cap on it is that, of course, a tenant can always increase their prices, whereas we as a landlord cannot increase our prices. The indexation mechanism is the only mechanism that protects us for a price increase. Of course, if the government would impose some measures, then Vastned Belgium would follow those measures. So first of all, the measure was put on the residential rent. Residential, as you saw in our presentation, is not that big. We have only 2% residential units. And all those units have an EPC value of A or B. So that means that we can fully index our contracts because the loss has an EPC value. A, B and C, you can index in full. For a D, you can only index 50%. And for an E or an F, you can't index. So we were not hit by that measure. The second measure is then for the Brussel region. The Brussels region there, the -- on the 15th of December, they approved an ordinance, which says that the rent of a commercial contract can only be indexed for a certain amount based on a consumption price index where the energy component has been removed, but they do it based on -- the base index figure is the one from July 2021. So there, you might -- it's a very complex calculation. But what is the main -- what is -- for us, why we said we can't calculate the impact is twofold, in fact. The first time is that we have, for example, now indexed from 100 to 110. If based on the new calculation it comes out that you have a value of 108, we can still invoice 110 to the tenant because all our contracts says that the new price cannot be lower than the previous price. So for a deflation, we will not be hit. The rent prices will remain the same. On the other side, we see that the price -- the consumer price index is almost equal to the new -- to the core inflation, so meaning the consumption price index without the energy component. So they're almost equal to each other. So that's why I believe the impact will vary -- will limit it to our revenues going forward. Also an important note is that there is some resistance and made some lawsuit will be launched for it from the landlords because it's not only equality principle, of course, because it's only for commercial contracts and it's not for the common law contracts. For example, a landlord from offices, they can recharge because that's responsibility of the federal government, so the Belgian government, whereas this one for the commercial rent is only for a regional responsibility. So the Brussels region can only imply that. And in fact, the nature of the ordinance was really to protect the small retailers like the butcher and the bakery store. But in the end, all the big players will benefit from this regulation. And because an H&M will have a bigger impact, of course, compared to a butcher or a bakery on the rent prices. So based on us, it might be the possibility that we can't charge the index, but at least, we will not decrease in value on a like-for-like basis. We still have the same amount of rent compared to this year. So that's, I think, one of the most important topics.
Unknown Attendee
attendeeMay I ask you a question, Sven, about this?
Sven Bosman
executiveYes. No problem.
Unknown Attendee
attendeeI did not know it was only in Brussels. Are there also talks, for example, that under, I don't know if the rest...
Sven Bosman
executiveYes. No, in the Flanders region, no, they will not follow. We have set some contracts with [indiscernible] and BBS, and they said that there will not be a possibility to come in Flanders and in Walloon region. So there is no impact expected for that one. And also the fact that they are going into appeal for the equality principle might still be a possibility that they will remove the ordinance and that they say it's not legal, this ordinance. So in that term, we can still invoice the full amount.
Unknown Attendee
attendeeMaybe a second question.
Sven Bosman
executiveDifficult versus, yes.
Unknown Attendee
attendeeIt's the kind of 9 -- in the Netherlands, you have [indiscernible] you kind of left this city. I don't know if the same for Brussels, but okay. And you said -- it's in there. It's also temporary...
Sven Bosman
executiveIt's for 1 year.
Unknown Attendee
attendeeit's for 1 year? Okay.
Sven Bosman
executiveYes. So after that one, you just calculate as of you did it in the past. So if that's your tenant, you will have the discussions again with your tenant in 1 year because then the index will increase significantly again.
Unknown Attendee
attendeeAnd maybe then at the time you said also in your discussion, the gas prices will stay low again, and then maybe it's less.
Sven Bosman
executiveYes.
Unknown Attendee
attendeeAnd then you are in your 3 years term again. Anyway, how you have to talk with your tenants?
Sven Bosman
executiveThen in our 3 years' term, we always say that we have to battle with equal weapons, I would say. So if they want to talk about this one and they say, okay, we want to -- you need to decrease because otherwise, we will give our notice. Then we say, okay, give your notice, and then we can talk.
Unknown Attendee
attendeeDo we have any idea about the OCR levels? Or maybe one step further, the revenues of your tenants at the moment, the cost...
Sven Bosman
executiveNo. We don't have that information. The reason is that we don't have any contracts except for one with a turnover component. So we always try to remove from the turnover component. The reason is also that what we see is now a lot of discussion with landlords and tenants about what is the size of the turnover, meaning online, which is picked up in the store. Does it include in the turnover of the store or not? So they remove it often from the turnover, whereas that turnover, yes, helps. And on the other side, you have some tenants that say, okay, the goods that have been returned from an online order, they -- when they will be returned, they will be deducted from the turnover of the store, yes, so that's not equal. So that's why we try to stay out of it as much as possible.
Unknown Attendee
attendeeOr deducted from the stores which have turnover rents, I heard it.
Sven Bosman
executiveYes.
Unknown Attendee
attendeeThat's really awesome. Okay. Now -- Okay. Yes. So -- and maybe I can imagine you will not put it on the official slides, but maybe you also sometimes have informal talks with your tenants or you just visit the store. Of course, they will always complain. And as long they complain, I think, is a good sign. But do you have a gut feeling how they are doing or...
Sven Bosman
executiveI think the big chains are doing quite well. I think Inditex is doing quite well. H&M is a bit difficult. They are always complaining compared to the other ones. The smaller still have some problems, but those are the ones who already had problems before COVID. So some of them are just not located on the best spot or they just want to be on a certain location, but they can't pay the price and they say it's too expensive, and then the store becomes not beneficial anymore. Those type of discussions you have, but it's very limited. What I can say is that the Walloon region, and we'll see it on our other slides where we compare the old rent and the new rent, the Walloon region has it a bit more difficult. And then certainly, for example, in malls, where with the shopping center, all the inner city stores have been removed. To give you an idea, [indiscernible] , it's just located next to our store, and that's in the high street of malls, I would say. So that gives already an indication and same in [indiscernible] . There, you also have some higher vacancy in those cities.
Unknown Attendee
attendeeMaybe one last notice, and then I see [ Herman ] with a wave. From a personal perspective, I was in Brussels at [indiscernible] conference a couple of months ago, in June or July -- when was it, [indiscernible] -- September...
Sven Bosman
executiveThat was September, October, yes.
Unknown Attendee
attendeeYes. And what I did was I took my wife with me to stay at Brussels, but just let her go around without telling where Vastned's properties. And actually, then I got a text message from her, she likes bargains as a real Dutch lady. So she went to the action and your actual the nice on the [indiscernible] ?
Sven Bosman
executive[indiscernible] , yes.
Unknown Attendee
attendeeYes. And she told me, yes, I even walked out again because it was too crowded. So...
Sven Bosman
executiveYes. And that's one of the locations -- one of our top locations in Brussels, the [indiscernible] , that's performing really good. So I can confirm that one, for sure.
Unknown Attendee
attendeeI visited myself as well the day after, again. And it was really -- I was really positively surprised. So...
Sven Bosman
executiveYes.
Unknown Attendee
attendee[ Herman ], sorry, you're on.
Unknown Attendee
attendeeNo. No. No worries. So Sven, I had a question. I can't make the rough calculation because you gave some indications. But could you say to us in 2022, what was the like-for-like? Or if you prefer, what was the effective indexation you applied? And for 2023, I know you don't want to discuss our guidance, but what kind of indexation are you budgeting? Is it 3, 4, 5?
Sven Bosman
executiveYes. I think, [ Herman ], on like-for-like, we did not mention the amount in our press release. But if you make the calculation, that is the only number, if you compare the rental income, if you count all the other ones, you come to the increase of the indexation. It was around EUR 800,000 to be indexed. So it's about almost 4.5%, 5% indexation on being invoiced.
Unknown Attendee
attendeeAnd that is the maximum -- you applied the max indexation?
Sven Bosman
executiveYes. So we applied the max indexation. So we did not give any discounts nor we don't have any caps. We only have one contract where there is a cap, which is a newly negotiated contract. But there, the cap was set at 4% or 5%. So even that, I don't think we will come back to the regions where we have 10% indexation anymore, I hope, at least.
Unknown Attendee
attendeeAnd you have maybe an additional question on what [ Herman ] was asking. Do you have also kind of -- you put there you increased -- you had 20 new contracts I saw in your press release, and you compared with ERVs. But I'd like to get some flavor about what was the old rent and new rent. So you have EUR 1.6 million...
Sven Bosman
executiveMaybe we already go to the next slide. So you also want to see this slide in -- your favor of this one. So...
Unknown Attendee
attendeeI love it.
Sven Bosman
executiveSo I think in total, we have new contracts. In new contracts, we gave a 13% discount. The main reason and the biggest impact was also the one we mentioned on half year numbers. It's linked to the old contract of Massimo Dutti. They were there already for more than 20 years. So the rental levels were not substantial anymore because there was a new market after COVID. They left. Then we had to pop up temporarily in it. And now we have a new contract with ATON. But what is important for that contract is that that building, if you ever enter it, I can only recommend it because it's a fully classified building, which means that also the interior is classified. So there are still some old closets from [indiscernible] in the past, and they need to be in the stores still. So that means all the wood you see in the building needs to be there still. And then it's, of course, difficult because you can't run it to everybody. It's only for a selected audience that you can use it. And that's the main reason why we had to give some rental decreases. If you -- I will maybe show you here. So this is the ATON. So this is this building. And then you see all this one is classified in the front. But also on the interior, so all this wood that you see in here, it's also all classified and we can't change it.
Unknown Attendee
attendeeMonumental starts, you would say...
Sven Bosman
executiveYes, some monumental. So here, you also see the wood, the cardboards. And it all needs to be there. It all needs to be stayed in the building. And that makes it very difficult, of course, to let it out to another tenant. We had a lot of discussions with this. And then I think with ATON, we have now, again, a good brand in the store and a sustainable brand that fits the building. On the other side, we had the contract in the [indiscernible] , where we even rented out above ERV. So there, we had an increase of the contract 15% above ERV in the [indiscernible] , which we closed. You see also in the Walloon region, there, we have a small decrease. But all in all, I think we can say that most of the contracts which were overrented are almost out of it because we are now start from the beginning of the COVID till now, we have 3 years past. So either they use the break option or renegotiate it. I think most of it is out of it. And ERV levels, we always succeed to close to ERV levels. [ Herman ], you had a question?
Unknown Attendee
attendeeNo. Just for Massimo Dutti, you are actually paying the good years -- the nice good years, 20 last year. It's more a one-off. You can say that you are close to passing rents?
Sven Bosman
executiveYes, indeed. Passing rents and ERVs are almost equal to each other now. So we don't have any big hits anymore to come.
Unknown Attendee
attendeeSo that means that the prices will not be very keen or very hot to rise ERVs dramatically in the coming months?
Sven Bosman
executiveWell, it depends because, of course, we have all the indexation on it. So there is now still a gap in between with indexation. I think if I look all in all to our portfolio, our rental income is still significantly higher compared to the ERVs. And then in the rent renewals, I think Flanders is almost -- we even had a small increase. Brussels was equal to each other, and the Walloon region was one store. But as I mentioned, in [indiscernible] , it's not doing well. So if you look into the street and there are 7 empty units and the tenant gives his notice and said, okay, either I will stop now or you give me a decrease, yes, then, of course, it's better to give the decrease and keep the tenant in than let him go because then we are just one of the other stores that are empty. And also that region is not performing well. I think, [ Herman ], if you come there in [indiscernible] , you will know it. It's not doing well.
Unknown Attendee
attendeeNo. It's really the municipal policy that is very bad because if you go to next door, [indiscernible] is doing super.
Sven Bosman
executiveYes, indeed.
Unknown Attendee
attendeeSo you're saying the rental income -- the current rental income is significantly higher than the ERV?
Sven Bosman
executiveIf I look to the total of our rental income compared to the ERVs, we still have a plus on it, yes.
Unknown Attendee
attendeeIs there -- can you put a number? So is it EUR 2 million, EUR 3 million, I don't know, EUR 1 million?
Sven Bosman
executiveI have to check on it. I will do it afterwards, if it's okay with you.
Unknown Attendee
attendeeYes. Yes, yes. No problem.
Sven Bosman
executiveSo I think here also -- maybe to go back on the previous slide, other important -- we had a collection rate of 98.6% of the rental income. That's almost 100% now. The reason why we had 98.6% is that we invoiced at year-end. Some property taxes to the tenants, and they just came due a couple of days before year-end. So they have been collected in the course of January. So it's not that there is -- that we don't -- that we see a delay on collection. I don't know if there are any questions about this one?
Unknown Attendee
attendeeNo.
Sven Bosman
executiveFinancial results. Okay. As mentioned, I don't know if -- how in depth you want to go. If there are questions, don't hesitate to just interrupt me and ask them. I think rental income, I already mentioned that the biggest chunk here is the indexation. As mentioned, we also had the sales last year. It's a EUR 200,000 decrease because [indiscernible] were still in it until June, July 2021. So they're now moved out of it. We have some new contracts. As mentioned, the Massimo Dutti has been changed by [indiscernible] . But on the other side, not a big movement. So I don't think we need to go more in depth into the rental income. Here, [indiscernible] , so that's mainly linked to, as mentioned last year, the reversal of our better provision for the rent -- COVID rental waivers. So it's just a classification because you book the credit note into the rental income and you deduct them here as a gain then. So -- but all in all, it's a 0 balance. The other rental-related income and expenses, just a decrease because here we had some one-off income. That's typically a site where you have a one-off income. In terms of property costs, you see a significant increase in the technical costs. The technical costs mainly increased due to the fact that we did some extra works in terms of sustainability. Sustainability becomes a hot topic. So we did some additional works in terms of stability studies for our out-of-town, where we looked if the building or the roof is suitable for putting solar panels on and put additional insulation on it. On the other hand, we also made some studies for measurement of the building in order to see the redevelopment potential for the buildings. And I think you just mentioned the building on the [indiscernible] . There is still a lot of potential for the redevelopment on the other floors.
Unknown Attendee
attendeeYes.
Sven Bosman
executiveSo we were in discussion with the party, but we didn't come to the conclusion. So now we are looking to other possibilities, and one of the possibilities might be, for example, a leisure concept to put on. But that's something we will see in the upcoming months, and then we will communicate if we have something concrete.
Unknown Attendee
attendeeDid I understand it right that there was maybe a study with small studios or whatever, but that was a problem get away the [indiscernible]...
Sven Bosman
executiveYes. Yes, the emergency exits are a bit of a problem. We will also have it if we have a leisure concept. But on the other side, we don't get the -- how would I say, the revenue we will get from a residential concept is not that big compared to the revenue from our retailers. So if they do some construction works, they may not impact our commercial units because if they complain and ask some revenue loss here, then it's a bigger impact for us compared to the revenue which we get out of it. Also the discussions, they wanted to put some part of the -- how would I say, [indiscernible] . So the enterprise risk...
Unknown Attendee
attendeeYes, business risk.
Sven Bosman
executiveThe business risk towards us by decreasing if they can build less rooms, yes, for us, we just have the surface, we just pay a fixed price for the surface. If you now have put 50 rooms or 60 rooms, that doesn't matter. We just want to fix price for our surface we put there. So that's why we are now also looking to sort of leisure concepts to see because then if you put in a leisure concept, you don't have a lot of refurbishment works to do because they just want a dark space in it, if they put arcade games, bowling and things like that. So -- and then that's, of course, a big roof where you have 2,500 square meters. And there you can put also solar panels on that roof. The advantage in Brussels is that you can still get some green certificates. So if we can put that on, we will, for sure, do that also.
Unknown Attendee
attendeeIt's more real commercial, but maybe the game state concept? So that's...
Sven Bosman
executiveYes. Yes, I know.
Unknown Attendee
attendeeThey rent also from our private portfolio building. So also, yes, leisure concept. And so if you need some afterwards, I can -- if you need some extra information, let me know.
Sven Bosman
executiveOkay. Perfect. I think, [ Herman ], you had the question still or it's still from...
Unknown Attendee
attendeeNo. Well, not at this stage. I don't know if you already talked about the Vastned Netherland cost.
Sven Bosman
executiveWe will comment on later. So that's on the, yes, technical cost, commercial cost due to the fact, of course, when possible, we try to close as much without a broker some contracts. You see also due to the fact that we have a higher occupancy rate, a decrease in the cost of the buildings that are not letted out that are vacant. The biggest -- there is still [indiscernible] where we have a gallery in [indiscernible] . There's still some room vacant. We're also looking to the redevelopment of it. For example, if there is a possibility to put an inner supermarket, there also we did some exercises, some measurements of the building, stability works, and now we will take the next steps to see if we can redevelop going forward. That brings us then, I think, [ Herman ], add to the general expenses. So we have general expenses increased with EUR 240,000. Those are mainly linked to, as we discussed in half year numbers, to a potential transaction done by the majority shareholder. On the transaction itself, since it's not public, I cannot comment a lot on it. I can only say that it was like in half year numbers, the transaction finished. So there are no other costs expected for it.
Unknown Attendee
attendeeWhy does the mother -- the parent company not pay it? Why do you have to pay for that?
Sven Bosman
executiveThese are mainly cost for the independent directors for the assistance. So these are mainly lawyer costs. But that's -- the main topic, I can explain about it. I cannot mention much more about it because the information is not public. I can only mention that it's not -- that it fully stopped, I would say, as already done during half year. If you want additional information, [ Herman ], you can ask it on Thursday, I think.
Unknown Attendee
attendeeI will certainly do.
Unknown Attendee
attendeeAre you there, [ Herman ]?
Unknown Attendee
attendeeIt will be my young colleague that is going to ask the question because we have a difficult the same day. I always try to make IR certainties to our agenda, but yes, it doesn't work.
Sven Bosman
executiveOkay. For the rest, I think the portfolio result you see, the minus EUR 10 million, now minus EUR 2 million, as mentioned, the biggest impact is now in Q3 and Q4. I think almost EUR 1 million each quarter that has been taken. You still see, for example, if you look on a year-to-date basis, we made the calculation, for example, the out-of-town still performs well. The out-of-town still increases on the value. Same with the [indiscernible] . There, you also see an increase in the value of the building still various other buildings we took a hit. And for example, the biggest one was in the [indiscernible] with Massimo Dutti contract, of course, as mentioned. And another one is on the [indiscernible] in Brussels, where the contract [indiscernible] has also stopped. There, we are also looking for a new tenant. And also I think the [indiscernible] is not performing that well. I think the part closer to the [ month ] performs better, so where [indiscernible] and Zara are located. We are all in the beginning close to the [indiscernible] . There -- that part is not performing, and there is much more vacancy in that region, I would say. But we have -- this afternoon, I have a broker who has interest in the building. So let's hope I can bring you in Q2 much better news on that topic. For the rest, the taxes here it's an important one. It looks like we pay a lot of tax. Our tax cost is still very low. The thing is that our deferred taxes linked to our participation in ERP are now reclassified under taxes instead of other portfolio results where it was recorded in the past. So the numbers have been just changed for comparability this year compared to prior year. In terms of assets, I think not much to say, not much movement. I think the decrease in the fair value of our real estate property is compensated in the fixed assets with our IRS contracts. So the interest rate swaps, they become positive, EUR 2 million positive. Last year, they were still minus EUR 1 million negative. So you see also in the floating -- so in the short-term part, you also have 154 in terms of assets, IRS contracts, and that's linked to the contract that will end in July 2023 this year. So -- the rest are debt. It's the increase with 400 as the -- the [indiscernible] furthering increase with EUR 400,000. The increase is also explained by the fact that we invoiced much more due to the indexation, of course. And then we had around EUR 150,000, EUR 200,000 on the property taxes outstanding, which has been collected in the meantime. So it's not that there is an increase that we see of payments. And cash and cash equivalents, we try to decrease as much as possible, of course, to repay our debts. In terms of liabilities, you see the long-term financial debt decreased with EUR 17 million. There is EUR 15 million explained from the reclassification. As so you see here in the short term, there is EUR 15 million now recorded. And on the other hand, here, you see the value of the interest rate swaps that also came 0 on the liability, but all on the asset side in the meantime.
Unknown Attendee
attendeeSven, I have a question on that EUR 15 million. So in the press release is saying that you will not refinance that EUR 15 million. So you have to reimburse. Where will the money come from? Because you have no cash position...
Sven Bosman
executiveNo. But we have -- we just withdraw much more from our other credit lines. So we have EUR 44 million of credit lines available yet. And then we just withdraw from those credit lines to repay the other ones.
Unknown Attendee
attendeeJust to switch on one to the other credit loan? Okay.
Sven Bosman
executiveIt's just a switch indeed because we are all financed as sort of balance sheet financing. In fact, we have bullet loans, which we can withdraw for our total portfolio. We are going to start also the negotiations for the renewal of the credit lines. Of course, it's a bit looking, yes, how it will evolve, I would say. We have -- the rents now increased. I think today, we will still see a hit when the American inflation numbers are announced. So we might see still a hit on the markets -- the financial markets profit. But we will see -- we'll start the negotiations. And for example, in the future, we will not get the same product as we have today. It's also why sustainability becomes much more important. So most probably we'll go to a sustainability-linked financing. And then we have, of course, the benefit of our out-of-town and the big stores also and the big units in the inner cities. They also have a large roof surface where we can also put a lot of solar panels on it to commercialize.
Unknown Attendee
attendeeSven, I have a question on that. So the point for you would be to use sustainability-linked this financing to reduce or to moderate the higher cost of debt because of higher rates? Could you perhaps tell us if you also could shorten the duration? That's also a trick or it to reduce the cost of debt to moderate higher cost of debt. And then the margin, can you talk about the margin? What -- are your bankers smiling or not?
Sven Bosman
executiveAre you?
Unknown Attendee
attendeeAre the bankers smiling and welcome for you or not also?
Sven Bosman
executiveIf they are smiling, I would not say. I have to ask them. What I understand from them is that they are not looking for a retail bet at this moment. They are a bit prudent about all the asset classes. I think logistics also had a big impact over the years -- over the last year. So they are a bit prudent with all the asset classes. But I think on retail, for them, location is very important. And that I can say we have a quite good portfolio, a quality portfolio, which is very well located. We have a low cost -- low debt ratio, which might also be in our benefit for the discussions about the financing, I would say.
Unknown Attendee
attendeeSo you do not expect higher margins?
Sven Bosman
executiveThere will be a bit higher margin, [ Herman ], but not that significantly, I would say. I think we had -- of course, in 2017, we had very good, very competitive margins. There will be an increase, but it will not be that we have to pay 2% or 3% margin, I would say, also because we have a very good and low debt ratio and assets located on quality locations. Okay. I think then to the share numbers, we have, yes, no movements in the number of shares; the net value, slight improvement; NRVs. [indiscernible] NRV is almost the same. We see that our stock price slightly increased to EUR 29.7. At this moment, we are at EUR 31.2. So the numbers have been welcomed good, I think. Because if I look now, it's EUR 31.2. So 1,100 shares, which is for us already a big one at this time in the morning. So the discount was at 35%. So now the discount will shortly decrease, I think, around 31%, 32%. I think also for me, our discount is also partly because we have 65% shares hold by The Netherlands. That also ensures that no other company, of course, enters into our shares because with majority shareholder with a total, how would I say, that has to say everything. Nobody else has something to say, I would say, during the shareholders' meetings. The EPRA result was EUR 2.59, and we will give a dividend proposed of EUR 2.25, so a slight increase of the dividend with EUR 0.05, which is still at a price -- at a nice return of a gross return of 7.6%. As mentioned on the financing, yet already, we will just repay them. And we will withdraw here from EUR 100 million that will expire in 2024 higher part because we have EUR 44.5 million available still. The average cost of debt is 1 85%.
Unknown Attendee
attendeeAnd for '23, you will go to the 2% about -- around, maybe a little bit below?
Sven Bosman
executiveNo, because a lot of is still fixed and hedged. So we have, in total, we have a notional at this moment of EUR 70 million on IRS contracts and EUR 10 million on a fixed term. So from the EUR 70 million, we will decrease to EUR 55 million. EUR 55 million plus EUR 10 million is EUR 65 million, which is still fixed. So the impact will be not that big going forward. I think maybe 1.90%, 1.95%, something like that because it's only half a year that we will be impacted also. I don't know if there are any questions about the financial results? Property markets, the sentiment in the rental market, I think this year was a very good year. 520,000 square meters have been letted. So it's an 8% increase compared to prior year, and we are even 25% above the average of the last 10 years. The main increase is visible in the inner cities. So there was the take-up was increasing with 21% and is now 127,000 square meters. And the biggest increase was in the Main Street Six. So there also, for example, in Bruges, you have a lot of, I call it, the [indiscernible] . There have been some changes there. And I said, okay, we paid too much. They gave their notice. In the meantime, Zara was looking for a bigger surface. So Zara moved in in the store of [indiscernible] . [indiscernible] needed to move to another smaller store. So those are a bit -- the games that are playing, and that was resulting in a significant increase, of course, in the Main Street Six going forward. And I went recently to...
Unknown Attendee
attendeeYou have to save [indiscernible] to your friend from S&P that [indiscernible] .
Sven Bosman
executiveThat is?
Unknown Attendee
attendeeThe [indiscernible] .
Sven Bosman
executiveI have to say the change, yes, in. But I think that one is an important one, and that is what you see also on the Meir. Things are getting filled up. I was in December in Bruges. I have the number seen. There were 1.4 million visitors in Bruges in the month of December. So -- and then China was not yet open. So they are back at, I think, pre-COVID levels in terms of people. And I went to the store of Zara in Bruges, and I can only recommend to visit that one also. It's a very nice and beautiful store. They made something beautiful of it. Retail parks out of town, limited growth, 2.5%. But still, of course, 39% of the average of the last 10 years. Out-of-town still performs well, but I think also location becomes very important going forward in out-of-town. Average surface in the high streets increased again to 271 and then the Main Street Six from 504 compared to 363. So there, that's also what you see the big boxes are also getting filled up. And there was a bit of decrease, a delay in the course of COVID and just after COVID, but now you see that they are starting to get filled up again.
Unknown Attendee
attendeeAnd what part run prices because, okay, normally, yes, you have -- you need renewals of contracts. So you have always this, but what about prices?
Sven Bosman
executiveThey are close to what I see in our ERV, so for similar surfaces. For example, in Bruges, if I know what is -- whether the value is closed, I think they are quite close to our ERVs also. So you don't see big hiccups anymore, Jeff, on that one. So I think it's also stabilizing much more. Then investment markets, investment volume, EUR 740 million, not big numbers. But also there are no shopping centers, of course sold. They are directly going for EUR 1 billion. So that you don't see any more. The increase was 60%. So it's quite a significant increase compared to prior year. And what is important is that 40% of those transactions were executed in the last quarter. The bigger ones in the high streets were the Nieuwstraat, so the flagship store of Zara that has been sold together with Hotel Metropol. That was one deal. The Meir, you have [indiscernible] who sold to Bestseller. And then you have [indiscernible] sold to [indiscernible] . And then, of course, in End, the [indiscernible] last year -- by beginning of this year. So you see that there was quite a bit appetite. And of course, the yields that have been paid were also some bit opportunistic yields. I think they are a bit higher compared to the market yields that they, at this moment, take into account. Investment in High Street itself from EUR 740 million is EUR 337 million. Various out-of-town, of course, again, a new record, EUR 437 million. So it's still more out-of-town at this moment compared to inner city. What is important is that the prime yields now between 4.5% and 4.7%. And out-of-town, the prime yields are at 5.8% estimated. I think you will see some new investment files coming up over the coming months. Twofold: I think, first of all, you have a lot of private investors when the prices -- when the loans were cheap, lot of people could buy, of course, certainly high leverage on it. So taking into account, it might be decreasing. Otherwise, we also have the sustainability regulations with the EPC value for nonresidential for Flanders. That's also an important one. The only thing is, at this moment, you will get the report, and the value of the report will say value X because the calculation for the EPC values is done based on the renewable energy that has been transmitted or created in the building compared to the total energy that has been consumed. But you have to take into account a period of 5 years, so you need to compare the energy consumption over the last 5 years. Nobody has that information. So the Flemish government said, okay, we will just put value X on it. And after 5 years, we will get the first values of the EPC reports. So you don't have to expect from us that we will report next year a lot of A, B or Cs on our nonresidential buildings. It will most of the time be X values. And important is that you need the EPC report if you want to sell and/or if you want to close a new rental contract. So it's a cost you also need to make. That's also something we take into account for next year, of course, in our budget, some sustainability costs linked to it.
Unknown Attendee
attendeeSven, can we have the split? You mentioned in your report on a price yield of 6.05%. That sounds quite conservative when you compare with the market which you are mentioning in this slide. But could you give us a split of the 6.05% between high street and out-of-town? And why is it so high? Is it because of Wallonia? Or is it because your prices are super prudent? Or is it because you pushed it to be prudent?
Sven Bosman
executiveI think they are quite prudent, our valuers, at this moment. I don't think they are, how would I say, they are aggressive in their valuations. So they're quite prudent. I don't have the correct split, [ Herman ]. I can't provide it to you for high street and out-of-town. But it's not -- Wallonia, of course, has a bit higher yields. But it's not that it's 8%, 9% yield. Plus the value of Wallonia is not that big also. So they don't impact us that hard.
Unknown Attendee
attendeeBut it is reasonably fair to say that your high street price yields are about 5%?
Sven Bosman
executiveThey are 4.7% -- I think, 4.75%, 5.5%. So those are a bit of high street.
Unknown Attendee
attendeeSo on average, 5-something.
Sven Bosman
executiveYes, I think so. I will come back on it, [ Herman ], and let you know. But I can say, what concerns me, I think they are quite conservative, our valuers, to be honest. Okay. Don't know if there are questions about the investments or rental markets.
Unknown Attendee
attendeeI have some general questions, Sven. So on the occupancy, you said, okay, 99.5%, okay? That's better than at the end of the third quarter. It was 97.5%, okay? Is it again temporary so that, okay, the 99.5% will fall back to 98%, 97% within 2, 3 months?
Sven Bosman
executiveNo. No, no. It's not temporary effect. The units we have vacant or where there is a pop-up contract are very small units. One is 36 square meters, for example. So that does not have a big impact. So in total, I think we can achieve going forward the 99%, maybe a 98.5% hiccup. Of course, we don't know if somebody else falls. Always have a risk that some tenant might leave. For example, we have the case in [indiscernible] , the case, there's some phone covers. They filed for bankruptcy in France. Their contracts will end in April. But at this moment, we cashed all the amounts so that there is no outstanding debt, something else. And we are also looking for the commercialization of those units already.
Unknown Attendee
attendeeOkay. But overall, looking to 2023, on the average occupancy, okay, the impact will be neutral, as you say, with the store in [indiscernible] , okay? Then you have done the lower average prices, as indicated on the new contracts. And then you will have on the positive side the indexation.
Sven Bosman
executiveYes.
Unknown Attendee
attendeeSo overall, you will have, yes, a little positive impact, 1% to 3%?
Sven Bosman
executiveYes.
Unknown Attendee
attendeeAnd then on costs, okay, the EUR 250,000, will disappear. Then you add then the -- also the cost -- the potential redevelopment, and that was [indiscernible] . So will that take place? Or is it still in the study phase or is this...
Sven Bosman
executiveStill in study phase. Of course, we try to speed up the study phase as soon as possible that we can commercialize it because if we can supreme -- suspend, in fact, the gallery, we can create a 300 square meters additional commercial surface, which we can value at that moment.
Unknown Attendee
attendeeYes. But it will not have an impact on the results this year in term of -- the cost will be limited and it's not that -- it's still more kind of a study. Yes, these are the main things. So you also give an indication on the financial costs. So that's -- yes, for me, it's clear, most of the things are.
Sven Bosman
executiveOkay. If there are any questions afterwards, just let me know, of course. Always available to call. On the outlook for 2023, I think we still keep focusing on the same cities. There is still some uncertainty. I know that the stock exchanges did quite well, performed quite good. On the other hand, we still need to be prudent because you always hear some signs that it will not be that positive. There are still some interest hikes that are expected. Omnichannel, as mentioned already, the pickup in the store from online and return in the store afterwards, those will increase value. But I think what is important on this year is that e-commerce saw a decrease or not a significant increase anymore compared to last year. And I think if you look to the footfall in the cities, it's performing well. And it's, again, a fun layout going to shop into the inner city. Also with the comp of [indiscernible], that also makes it much more nice. Our focus will be still on the timely collection of rental income, keeping our stable occupancy rate, that's one of our focuses. And then, of course, not mentioned here, also sustainability will become a good -- an important topic going forward.
Unknown Attendee
attendeeSven, you said that while you have low leverage, so interest rates is not that much of an issue for you. You say that retailers are doing, for example, for the moment, fine. You collect close to 100% of rents. Indexation is nice. You have a gut feeling of what our operational results going to do unless, of course, you sell it again. But you didn't sell anything in 2022, so no real impact in '23. So what kind of informal guidance can we expect for operational results?
Sven Bosman
executiveWell, that one, [ Herman ], we don't do normally. So operational guidance, I will not say it. I'll leave it up to you to say what the guidance will be, but I think you made the conclusion yourself. It will not be big deviations, I would say, expected.
Unknown Attendee
attendeeSo higher?
Sven Bosman
executiveThat depends, [ Herman ], on how much inflation will be, of course, and indexation. If indexation drops, our models also change, of course.
Unknown Attendee
attendeeOkay. What kind of indexation are you penciling for 2023, your budget?
Sven Bosman
executiveI think around 3.
Unknown Attendee
attendeeOkay. Okay. And then one last question on my side on the prospects. You sounded -- well, the article on the [indiscernible] was very -- I think they called -- they talked to you because you sounded a bit cautious on acquisitions. You stick you -- in the past, in the good years, people say the Vastned Retail Belgium is very much low leverage because they cannot invest. They don't find objects. But now you say, oh, we are very happy to have low leverage. So that means that you are not ready to invest again or you might...
Sven Bosman
executiveIf it were up to me, [ Herman ], I would like to reinvest, of course. But it's not always depending on me, I would say. I think we have -- there are -- and I think in the market, there will become some forced sellings going forward. Some of them might hit 65% covenant breaches and might be some forced sellings. So it will be -- with our low debt ratio, we can, of course, do it and buy additional. But you don't have to write it down into your article, [ Herman ]. But I think our debt ratio of our mother company, if we increase our leverage, that leverage will also increase, of course. But you don't have to put it in the newspaper, I would say. I saw it when you wrote about [indiscernible] . They got more flexibility from the [ mother ] in your news.
Unknown Attendee
attendeeYes, indeed. Because -- well, that's also strange and that's why I was expecting the same at -- in your side. Actually, nothing changed, I believe. It's still very close to 20%, but they do as of the world change, and now they can say we'll go for it because on the other side...
Sven Bosman
executiveYes. So I would ask them, I would say.
Unknown Attendee
attendeeYes. I will do. Okay. So what you are saying is that there might be opportunities, but we are bound to the, of course, the cost of debt, the leverage of the group?
Sven Bosman
executiveI think that might be one of the topics. I did not say it, of course. But it's -- I think, of course, if we increase our leverage, their leverage will also increase. I think that's fair enough to say. But I think there might be some forced sellings coming up going forward in the upcoming months. So there might be interesting opportunities coming. But at this moment, indeed, we always remain cautious and prudent. Okay. I don't know if there are any other questions.
Unknown Attendee
attendeeThank you for participation.
Sven Bosman
executiveYou're welcome. And we look forward to everybody. In case there are any questions, don't hesitate to give me a call to ask more details about it. Always open to discuss.
Unknown Attendee
