executiveGood morning, ladies and gentlemen. Welcome to the virtual Edgewell Personal Care Company 2021 Annual Meeting of Shareholders. I am Rod Little, the CEO and President of Edgewell. And it is my pleasure to call the meeting to order. Our directors and various members of our senior management team are also present at this meeting; as well as Brian Tapley, a partner with PricewaterhouseCoopers LLP, our independent auditor, who will be available to respond to appropriate questions. Now I would like to turn to Marisa Iasenza, our Secretary and Chief Legal Officer, to present the agenda and procedures for our meeting and to conduct the formal business. Marisa?

Details regarding the individuals nominated to serve as directors and other items up for vote today were included in the proxy materials mailed to each shareholder on or about December 21, 2020. Now for the formal business. On the record date of November 27, 2020, there were 54,525,037 shares of common stock outstanding. Each share is entitled to 1 vote. This meeting is being held pursuant to notice, which was provided on or about December 21, 2020, to shareholders of record as of November 27, 2020. Proof of such notice will be filed with the minutes of the meeting. I will be serving as inspector of elections at this meeting. Our Board of Directors has solicited proxies from the shareholders. Since the majority of the outstanding shares are represented, a quorum is present. So I declare the meeting duly and lawfully convened. The items of business as set forth in the proxy statement are: the election of 11 directors to serve a 1-year term expiring at the annual meeting of shareholders in 2022 or until their successors are elected and qualified, the ratification of the appointment of PricewaterhouseCoopers LLP as the company's independent registered public accounting firm for fiscal 2021 and the advisory vote on executive compensation. Our Board of Directors and its applicable committees have nominated the following individuals to serve as directors for a 1-year term ending on the date of the annual meeting of shareholders in 2022. Robert Black, George Corbin, Daniel Heinrich, Carla Hendra, John Hunter, James Johnson, Rod Little, Joseph O'Leary, Rakesh Sachdev, Swan Sit and Gary Waring. They have also recommended ratification of the appointment of PricewaterhouseCoopers as the company's independent registered public accounting firm for fiscal 2021 and have recommended the approval of the advisory vote on executive compensation. No other formal business or director nominations were submitted in accordance with the company's bylaws to come before this meeting that would require a shareholder vote. Therefore, I hereby declare nominations and proposals closed and we will now proceed to vote. If you have already submitted a signed proxy card or voted by Internet or telephone, your shares will be voted in accordance with your instructions, and it will not be necessary for you to vote again. If you wish to submit your proxy now or if you have not given a proxy and wish to vote with respect to any of the matters brought before this meeting, or if you would like to change your vote on any such matters, please click on the Vote Here link on your screen. We will now vote all proxies received by management. The results of the vote will be announced shortly. At this point, we will pause for the collection and tabulation of votes. [Voting]

executiveSo while the votes are being tabulated, we'd like to remind everyone that the company regularly discusses its earnings results and financial performance during quarterly investor conference calls. The company's performance during fiscal 2020 is discussed in the company's annual report, which was distributed to all shareholders back in December and was also discussed during an investor conference call on November 12, 2020. The replay of the conference call is available in the Investors section of Edgewell's website. We will be releasing fiscal 2021 first quarter results on February 9 in the next conference call to be hosted by our CFO, Dan Sullivan and me, is expected to take place that day at 8:00 a.m. Eastern Time. I will now ask Marisa to report on the voting.

executiveThank you, Rod. On the election of directors, each candidate nominated received a majority of the voting power represented at the meeting and entitled to vote. Therefore, each candidate has been duly elected as a Director of the company. On the ratification of PricewaterhouseCoopers, a majority of the voting power represented at the meeting and entitled to vote was cast in favor of ratifying the Audit Committee's appointment. With respect to the advisory vote on executive compensation, the compensation plan of our named executive officers received the approval of a majority of the voting power represented at the meeting and entitled to vote. The company will file a report with the Securities and Exchange Commission within 4 business days at this meeting to announce the results of the voting. That completes the formal portion of the meeting. I now turn the meeting back to Rod.
