Good afternoon, ladies and gentlemen. My name is Pawel Wieprzowski and on behalf of Wood & Company, I very warmly welcome you to the third quarter results conference call with Kernel's management. Today, the company is represented by Andrii Verevskyi, Chairman of the Board; Anastasiia Usachova, CFO; Yuriy Kovalchuk, Corporate Investment Director. Gentlemen, congrats with the results. Please go ahead.

Thank you very much. Good afternoon, everyone. Thank you for joining us today. I'm presenting to you Kernel financial results of the 3 months ended in March 2021. This is our third quarter of financial year 2021. Group revenue over reporting period stood at $1.7 billion. EBITDA reached $111 million, and net profit was $16 million. The financial leverage continued to reduce and reaching 1.4 net debt-to-EBITDA as of the end of March 2021. I start it, as usual, from oilseed processing segment. So we generated $7 million of EBITDA in the third quarter, down 73% year-to-year. Although sales volumes in January, March, virtually unchanged, EBITDA margin declined to $19 per ton of oil. We discussed the major drivers during the several calls before this year and the poor performance is the main reason of the low harvest of the sun seeds in Ukraine in season 2021. We estimate that right now that the harvest is 13.6 million tons, which resulted the huge gap between processing capacity and supply of seeds and the competition this season was very, very strong. And more over the strong global sunflower seeds oil prices made farmers in Ukraine reluctant to sell sun seeds actively and the situation escalated even more. As a result, we reestimate our potential volumes for the financial year 2021 to 3.2 million tons of sunflower seeds. While we're keeping the margin guidance for the full year unchanged between $45 and $55 per ton of sunflower seeds oil. This is also including some minor contribution from renewable energy. Infrastructure and Trading segment delivered third in a row quarter strong performance with $122 million of EBITDA. The major portion of earnings was contributed by Avere and the grain value chain delivered solid operating numbers with 1.8 million tons of the grain exported from Ukraine and 2.1 we transshipped through our facility in the Chornomorsk port. But margin-wise, the performance was undermined by low supply of grain for export in Ukraine. I would like to also stress that despite the challenging fundamentals for the grain export business in Ukraine, this season, Kernel increased its shares in grain export from Ukraine from 12.3% to 16.2%, securing our position as the largest grain exporter from the country. This achievement, I believe, a very good demonstration that the team is building a solid infrastructure and trading platform in Ukraine. Our outlook for infrastructure and trading segment, so we keep target for the export 8.5 million tons. And EBITDA for the full financial year 2021, we expect well above $400 million, given the very stable performance in June. Now farming. Farming business delivered 3 million tons -- $3 million of EBITDA only. This includes -- this result includes a sizable negative $58 million net effect from revaluation of biological assets, which is quite typical for this part of the agriculture season. Nine months basis, we generated $270 million of EBITDA, which is 2.6x increase year-to-year. And the full year 2021, we expect to deliver $300 million of EBITDA for the Farming segment, but this is excluding impact of revaluation of the biological assets. Kernel successfully completed planting campaign with 254,000 hectares under the corn and 154 under the sunflower seeds. As of date of this report, weather conditions so far are generally favorable for the both winter and spring crops. Outlook for the next year for the farming quite positive. At the date of the report, we forward contracted a significant portion of grain and oilseeds for upcoming 2021 harvest securing in a such way, a big part of the financial year 2022 farming earnings. Prices for remain long position at the moment stay quite high and assuming also recovering and the crop yields, the segment performance for financial year 2021 -- 2022 might be even better than the current season. CapEx program. Our strategy 2021 is approaching to completion. New oilseeds processing plant in the western of Ukraine expected to be constructed at the end of the year 2021. Free cogeneration heate and power plants with renewable energy investment projects are already finishing, but they are commissioning slightly delay. The 3 remaining green facilities are to be commissioning in the financial year 2022. This is pretty much it from my side, and we are ready for your questions. Please go ahead.

Pawel Wieprzowski, if I may start. I have 3 questions. First, what part of 2021 harvest have you already sold? Because in the presentation, you just -- you only mentioned that you have sold significant part. Could you please elaborate a little bit more in details of the fraction?

Andrey Mikhaylovych

executive
#5

Yes, yes, I can. So corn, we sold 64%; sunflower seeds oil, we sold 80%; and wheat, we sold almost 80%.

Pawel Wieprzowski

analyst
#6

Okay. 80%. Perfect. Next question. Year-to-date results are really impressive, stellar, indeed, leverage at 2-year low. There is indeed room for higher dividends. So will you consider more than $0.42 per share dividend to be paid out from 2021 profit?

Andrey Mikhaylovych

executive
#7

No, we don't. We will -- for this year, we'll definitely stay for $0.42 per share as we approved recently.

Pawel Wieprzowski

analyst
#8

Okay. So last question from my side. Could you please update us on how the purchase of CascadeAgro landbank is proceeding? When shall we hear about the details of the deal?

Andrey Mikhaylovych

executive
#9

CascadeAgro, at the moment, the deal is not happening, and I think the seller decided to keep it at the moment. I mean, again, given the results what the oil farmers are doing at the moment in Ukraine, you try to revise the price. We don't want to be very aggressive to raise the price for the deal because we believe that the soft commodity prices won't be sustainable on that level. So let's see. I guess, at the moment, there is no deal.

[Operator Instructions] So we currently have a question from [ Mylos Swislo ] from IRSM.

Unknown Analyst

analyst
#11

Okay. And again, I would like to congratulate for very good results that the company continued to realize. So I have 3 questions. I will ask one by one. So we know that the company already contracted some significant volumes as well from the third parties for the new season when it comes to sunflower. For example, IMC sold you 60,000 tons. What range of margins do you see for this new volumes in the new harvest when it comes to crushing...

Andrey Mikhaylovych

executive
#12

You're talking about the forward contracts with the third parties?

Unknown Analyst

analyst
#13

Yes. Yes. Yes.

Andrey Mikhaylovych

executive
#14

I think it's about $70, $75 per ton of oil.

Unknown Analyst

analyst
#15

Okay. So this is really good. Okay. And then the next question. So in the last 3 years, when it comes to quarter 3, we see booked increased losses on biological asset revaluation. Is it connected only to the reduction of the planting acreage of the winter wheat and rape? Or there are some other significant factors there?

Andrey Mikhaylovych

executive
#16

Anastasiia, can you comment, please?

Anastasiia Ivanovna

executive
#17

Yes. Yes, I can comment on this. It's a mathematical exercise. Biological evaluation depends on the size by end of the period and also on the acreage and expected yield. So that's just a quarterly fluctuation, and we will revise this amount by the end of the next quarter.

Unknown Analyst

analyst
#18

Okay. So the next question is connected. Should we expect a positive effect in the fourth quarter when it comes to biological assets in farming, just in the fourth quarter?

Anastasiia Ivanovna

executive
#19

It pretty much depends on the level of the prices by end of the next quarter. So we shall see what kind of prices we have by -- at 30th of June 2021.

Unknown Analyst

analyst
#20

Okay. So it's based really at the end of the quarter, the price?

Anastasiia Ivanovna

executive
#21

Yes.

We now have a question from Mike Ludwin.

Unknown Analyst

analyst
#23

I have only one topic, which I would like to discuss. I would like to know your opinion about the military conflict between Ukraine and Russia, an impact for your business and potential risks?

Andrey Mikhaylovych

executive
#24

I mean it's a hard question to answer. At the moment, since 2014, we haven't been exposed with our assets to the conflict so neither Crimea or East of Ukraine. So we hope that any escalation won't go too far, and we won't be exposed in the future as well.

Operator

We now have a question from Jakub Szkopek from mBank.

Jakub Szkopek

analyst
#26

Congratulations with the results. I've got a few questions. The first one is regarding the crushing plant in Western Ukraine, how it's going? How is the progress? And when do you plan to start it? What are the changes in this progress?

Andrey Mikhaylovych

executive
#27

Thank you for your question. So as I said towards the calendar year 2021, we plan to finish that construction. Obviously, it's slightly delayed and during this -- because of the COVID, et cetera, because of engineers and supply, et cetera. So it wasn't an easy year for the construction as well. So you can see this generally speaking, the commodity, everything is going up and the constructors try to revise the prices, et cetera. So -- but the visibility is pretty good to finish it in 2021 and towards the end. We would already -- we're already planning to start to buy sun seeds at the new year starting September, October for the new plan, even if it's not finished. And we hope from January, February, March onwards, we would be able to already crush some volumes.

Jakub Szkopek

analyst
#28

Okay. I've got another question about this renewable energy units. What is the -- why the weather impact from this unit is so low this year with -- because of that, that some investments were delayed or there is a structural change in the law in Ukraine? What the cost...

Andrey Mikhaylovych

executive
#29

No. Nothing changed. It's a pure our internal, I would say, issue. It's same story because the old equipment installed on the cogeneration plants is the European production, et cetera. So -- and it was just simply delay from our side and -- mainly constructors and suppliers, but the 3 of them already done. We're just working with commissioning and the next year, 2, 3 of them should work 100% for the whole year and 3 others in financial year 2022. So it's a pure delay. Nothing structured in the market.

Jakub Szkopek

analyst
#30

Okay. So the last question, it's about Avere. In the last quarter, what do you expect in this unit? Did you close all the transactions for the last quarter or would you have some opening interest for the last quarter? What is your right now feeling about the grain market? Will it go up, down?

Andrey Mikhaylovych

executive
#31

Avere, we still think that fourth quarter they should be -- should bring some contribution. At the moment, we reduced substantially positions and -- but we still have 1 month to go. And obviously, I don't know if you follow, but the volatility is really big on a soft commodity, especially corn is jumping up and down, limit up, limit down. So even with the small positions on this volatility, the earnings are going up and down as well. So we don't believe that -- we hope that for this June, we won't have any bad surprise. And I think we should carry on well. But of course, there will be some -- potentially some downside, but I don't expect there will be any significant or substantial amount of money, which we potentially can lose in June. But we still have some open positions in June.

[Operator Instructions] We now have a question from Natalia Shpygotska from Dragon Capital.

Natalia Shpygotska

analyst
#33

Congratulations on the strong results. A couple of questions from my side, please. First of all, I would like to clarify, please, on the dividends. If the 44 -- $0.42 per share is like maximum level of dividends based on 2021 financial year to be distributed in next calendar year? Or you mean that nothing on the top of these dividends would be paid in this calendar year?

Andrey Mikhaylovych

executive
#34

In the financial year 2021, we're going to pay -- we plan to pay $0.42 per share, and we don't plan at the moment any extra dividend to be paid.

Natalia Shpygotska

analyst
#35

Understood. The next question would be, do you expect any market consolidation in local crushing industry in Ukraine, given low crushing margins at the moment?

Andrey Mikhaylovych

executive
#36

Yes. We think so. Unfortunately, it's -- I mean, we're looking at, as already mentioned many times during the calls, we don't have many targets, which we would be interested to buy, I would say, 2, 3 max. And at the moment, the steel sellers are -- I mean, the expectation is still higher. I think maybe one bad season maybe not that enough that we would probably find the agreement to the prices. I would say we probably need maybe 2 or 3. And if next season -- we expect next season should be better for crushing industry. Prices are high. And if crops come out next year, I mean, this year is stronger and better yields, et cetera, we might have quite good season for crushing business. If we have this situation, we might not see these guys selling assets at our level. So I think everything will depend on the next crop and the next season, and then there is going to be more clarity, I guess. But at least we need 2 in a row bad season before these guys will drop the prices, devaluation, I mean.

Natalia Shpygotska

analyst
#37

And my final question would be on the open agribusiness partnership. As it appears from comments to local media, the company plans to boost total area of land of its partners to 500,000 hectares by 2025. How do you expect that to contribute to company's business model? And how that will be reflected on the company's P&L?

Andrey Mikhaylovych

executive
#38

Open agribusiness is one of the important direction of our development. This is our relationship with farmers. It will not be probably very important contribution for our P&L for the 2022. But what we're expecting at -- the close relationship with the farmings will bring us more volume and brings us more utilization for our own assets, particularly silos and terminals and wagons, et cetera. So -- which is quite important for us, and we would make money out of this business rather than probably from JVs from -- directly from farmers JVs. So -- but it's -- going forward for us, it's a very important direction because right now, what we see in Ukraine the assets is installed -- assets capacity is way, way bigger, and we can do much more volume than Ukraine produce. So the whole battle is moving towards the farmers, who has a better access to the farmers, who can handle bigger volume in efficient way. So that's why we're moving into the open agribusiness with JV, with partners, with the farmers and try to find any options, how we can cooperate and stay closer to the farmers because they are holders of the soft commodity of the raw materials, which we need to move from our assets.

Natalia Shpygotska

analyst
#39

Understood. Just a small clarification. So this land of company's partners are not reflected in the company's land bank like 500...

Andrey Mikhaylovych

executive
#40

No, not at all.

Operator

We now have a question from Filip Wolek from GIH Group.

Filip Wolek;GIH Group;Analyst

analyst
#42

Congrats on the results, first of all. I have a question concerning the Infra segment and one concerning the Farming segment. Concerning the Infra segment, assuming like a harvest of Ukraine of 100 million tons as communicated by [ Leschenko ] what would be your assumption in such a case in terms of tons like transported in your Infra segment? And what would be your assumed EBITDA margin in such a scenario of such a harvest?

Andrey Mikhaylovych

executive
#43

I would give you more clarity about volumes. We -- next year, we targeted 10 million plus for the export volume from Ukraine for our infrastructure. But for the EBITDA for '22, I would not comment at the moment because as you can see that our EBITDA on the Infrastructure and Trading segment is a lot depends on the Avere performance. This year, of course, is outstanding, but it definitely would be impossible to keep this pace and sustainable earnings coming from Avere every single year. So -- and that's why the infrastructure segment for next year will be definitely lower than this year. So I would not comment on any amount of money. But in terms of tons, yes, we definitely have the plans, and we hope we will do more than 10 million next year for the export volumes.

Filip Wolek;GIH Group;Analyst

analyst
#44

And concerning and concerning excluding Avere, is it safe to assume like $20 like in the previous years per ton or is that on the low...

Andrey Mikhaylovych

executive
#45

I think for the whole infrastructure we should do better than $20.

Filip Wolek;GIH Group;Analyst

analyst
#46

Okay. Got it. The second question I have concerns farming. I'm trying to estimate the EBITDA for the coming year. It would be very helpful to have a number of -- what was the average price of corn contracted in the current financial year so for the current produce of this year versus the one for the -- which you have already contracted so far for '21, '22?

Andrey Mikhaylovych

executive
#47

We saw the pretty big volume and it was different prices and not necessarily better than market today. Unfortunately, price keep going high. And I'm not sure that -- and I can't say that the sales what we've done is on the best level. So -- but let's see, I'm not particularly very bullish on the corn on December. Right now, the market is strong, but if weather in the United States will be perfect as it looks like today, we definitely will see some downside. We believe that we will definitely see some downside going forward for the corn. So I don't know if I can -- maybe you can write e-mail and I can take a look at the numbers and what the average price because we saw quite a bit of chunk of corn and the different prices scaling up. So if you don't mind, send us e-mail, and we'll update you with more details for the prices, please.

Filip Wolek;GIH Group;Analyst

analyst
#48

Absolutely, I will.

Operator

#49

We now have a question from Michal Majerski from PTE Allianz.

Michal Majerski

analyst
#50

My question is about the margin in crushing business. Do you see any signs of bottoming down, for example, after this $19 last quarter, what do you see in current quarter and when could this margin rebound, in your opinion?

Andrey Mikhaylovych

executive
#51

For financial year 2021, we're done. Nothing is going to happen. We forecast $45, $55 for the total year average, as I mentioned already, at the beginning. And I don't see anything happening in the financial year 2021.

Michal Majerski

analyst
#52

Okay. So on the better harvest next season could improve higher volume going to the market.

Andrey Mikhaylovych

executive
#53

The whole game for the crushing business will be the size of the next harvest because the plantation -- and the current estimation is a bit too early because the plantation area is pretty good. It depends on the yield. If we can do the good yield, we can have a pretty strong harvest. With pretty strong harvest and this level of prices, it could be very strong margins. But once again, it's too early.

Michal Majerski

analyst
#54

So which month will be the crucial in the weather conditions?

Andrey Mikhaylovych

executive
#55

I think August, for sun seeds, we will have quite okay visibility.
