ExecutivesOkay, good morning, shareholders and guests. Welcome to Cannatrek Limited Scheme Meeting. For those of you who haven't had the chance of meeting as yet, my name is Brent Dennison. I'm the Chair of Cannatrek and I'm the chair of today's meeting. It's 9:30 a.m. We have a quorum present, I declare the meeting open. The meeting has been convened by order of the Federal Court of Australia under Section 411 of the Corporations Act 2001 to consider, and if thought fit, approve the proposed scheme of arrangement between Cannatrek and Little Green Pharma Limited. Today's meeting is being held as a hybrid meeting in Melbourne and online via the Lumi platform. All attendees can watch a live webcast of the meeting. In addition, shareholders and proxy holders have the ability to ask questions and submit votes. The voting will remain open until the closure of the meeting formalities. I'll start by acknowledging the traditional owners on the land on which we are meeting today, the Wurundjeri Woi-wurrung people of the coordination and pay our respects to their elders past and present. I'd like to take the opportunity to introduce my fellow directors and thank them for their support throughout this process. Tommy Huppert, who is also online, Justin Arter, Sam Holt. And we have Seth and Imogen online as well. I am also online, present is Jason Rance, who's Cannatrek's CEO; Paula Butler, who is CFO and Company Secretary; and James Kapetanios, who is the GM of Operations and who should the scheme arrive at the point of implementation will be a lead in the integration process. So I'll quickly run through the agenda. The agenda for today is to review the Lumi platform, which is the question voting process and consider the resolution to approve the scheme being proposed. Those attending in person, only shareholders or proxy holders holding a green voting card or a blue nonvoting card are entitled to ask questions. If you do not have a voting card, please check at the registration desk where a boardroom representative can assist you. For those attending online, to ask a question, please click the speech bubble icon at the top of the screen. Type your question and click send. You'll receive a confirmation once that's been submitted. You may submit questions at any time. I will address them at the appropriate time during the meeting. The question function is open now. So it would be helpful if you could submit your questions as early as possible, and we'll address them when we come to that time frame. If we receive multiple questions on a similar topic, they may be grouped together. I reserve the right to rule questions out of order if they do not relate to the business of this meeting. All voting today will be conducted by a poll. For those attending in person, you have received a green voting card. Please print your name and sign in the card, unsigned voting cards can't be counted and be deemed invalid. When you have finished completing your voting card, and I declare the voting closed, boardroom will collect them. For those online, the voting icon appear as a bar chart at the top of your screen. You may vote for, against or abstain. There is no submit button, your vote is recorded automatically. You may change your vote at any time before the poll closes. So I'll move to the business of today, which is the approval of the scheme. I'm advised that the notice of meeting was duly dispatched in accordance with the orders of the Federal Court unless there is any objection, I propose that the notice of the scheme meeting be taken as read. There is one item of business to be considered today. There are no voting exclusions applicable to the resolution. I move to the formal resolution. Before proceeding, I do remind shareholders that for the scheme to be approved, it must be passed by 2 different tests at least 50% in number of shareholders voting either in person or by proxy, and at least 75% of the votes cast by those shareholders voting on the resolution. The resolution is that pursuant to, in accordance with Section 411 of the Corporations Act 2001, the scheme of arrangement proposed between Cannatrek Limited ACN 056175369, and the holders of its fully paid ordinary shares is approved. And B, the Board of Directors of Cannatrek are authorized, subject to the terms of the scheme implementation deed to agree to any modifications, alterations or conditions approved by the Federal Court of Australia and to implement the scheme accordingly. If the scheme is approved by the requisite majorities today, it will then be subject to approval by the Federal Court of Australia at the second quarter hearing which is later in April. I advise that valid proxies have been received in respect of the resolution before the meeting. As indicated in the Notice of Scheme Meeting, where permitted, I intend to vote all undirected proxies in favor of the resolution. The proxy results that have been received prior to the meeting are displayed on the screen. We've had 182 shareholders vote. So in the first test at least 50% in the number of shareholders voting either in person and in proxy. So of the 182 that have voted, 175 of those have voted for, 96.15% of those have been voted and against 7, which is 3.85% of the 182. In test 2, at least 75% of the votes cast on the resolution for, that equates to 78.3% of the votes, the total shares of Cannatrek, for is 98.44% which equates to 77% of Cannatrek shareholders and against 1.56%. So even with proxies that have been sent through, we would pass test 2 at this stage. While the proxy vote indicates strong support for the scheme, the final result will depend on the outcome of the poll conducted at this meeting.
