executiveWelcome to The Simply Good Foods Company 2021 Annual Meeting of Shareholders. It is now 9:00 a.m. Eastern time, and the meeting is called to order. I am Joe Scalzo, President, CEO and Member of the Board, and I will conduct the meeting today at the direction of Jim Kilts, our Chairman of the Board. Members of the company's management attending today's meeting include Todd Cunfer, our Chief Financial Officer; Tim Kraft, our Chief Legal Officer and Corporate Secretary. All members of the company's Board of Directors are also attending today's meeting. Jason Graham, a representative of First Coast Results, who will serve as inspector of elections, is also present. We will proceed as follows. First, we'll conduct the official business of the meeting. After the conclusion of the official business, we will address questions, if any, that properly become -- come before the meeting via the meeting website. We will now proceed to the business portion of this meeting. We have a complete list of the stockholders of record as of November 25, 2020, the record date for this meeting. This list is certified by Continental Stock Transfer & Trust Company, our registrar and transfer agent. The list of stockholders entitled to vote at this meeting has been available for inspection by any stockholder for the past 10 days and is available on the meeting website for any stockholder to examine. We have received an affidavit from Broadridge certifying that each stockholder of record on the record date was duly given notice of the meeting. Mr. Graham has signed an oath of office as inspector of elections for this meeting. It will be filed with the records of this meeting. Mr. Graham has also confirmed that the required quorum is present, and we will now proceed with the business. The final report of the inspector of elections will be filed with the records of this meeting. As there are no other formal business to be addressed -- I apologize, we have 3 proposals up for vote at this meeting. The actual voting will be deferred until all matters to be acted upon have been presented. The first matter to be voted upon is a class -- is the election of 4 Class I directors as described in the proxy statement. The Board of Directors has nominated each of Robert Montgomery, Joseph Schena, James White and myself to be elected as Class I directors for a 1-year term ending at the 2020 (sic) [ 2022 ] Annual Meeting of Stockholders. The second item is the ratification of Deloitte & Touche LLP as the company's independent registered public accounting firm for our 2021 fiscal year. The third item is the advisory vote to approve the compensation of our named executive officers. Because no stockholder proposals were timely received, there are no other items to be considered at the meeting. We'll now proceed to the vote. Any stockholder who hasn't yet voted or wishes to change their vote may do so now by clicking on the voting button on the meeting website and following the instructions there. Stockholders who do not want to change their vote do not need to take further action. The polls are now open for voting. I will briefly pause to allow any stockholders attending our meeting to vote. Based on the preliminary tabulations, we're pleased to announce that all of the nominees for election as Class I directors have been duly elected, that the appointment of Deloitte & Touche as the company's independent registered public accounting firm for the 2021 fiscal year has been ratified, and that the advisory vote to approve the compensation of our named executive officers has been approved. The final report of the inspector of elections will be filed with the records of this meeting. As there are no other formal business to be addressed, I declare that the 2021 Annual Meeting of Stockholders is hereby adjourned. As indicated in our proxy statement, management will not be making a presentation at today's meeting. I have been informed that we did not receive any stockholder questions or comments in advance of this meeting. So before I close our program, I'll pause briefly to check with our general counsel to see if any questions have been submitted through the meeting's website during the meeting. I've been informed that no questions have been submitted. As a result, our program for the day is concluded.
