Good afternoon, and thanks, everybody, for joining the Wiit conference call. Board of Directors, this afternoon approve the results of the first half 2021. You can see -- you can follow the presentation with the [indiscernible]. Unfortunately, meeting later, but I think you can see the presentation. Starting for the highlight. Strong growth in terms of sales. Sales grew 52% compared to the last previous year, thanks to organic growth. The organic growth remained strongly later have a specific slide in the sale, but organic growth was 11% in terms of revenue, remain strongly. Thanks to the myLoc contribution, I remember that the consolidation of myLoc business started in the last quarter of last year. And for this half year, we consolidated -- we have a full consolidation of the German business. Total extensions, upselling and new logo. In the first half, we continued to grow to achieve a new customer in Wiit and in all the company acquired. EBITDA margin up to 40% increased compared to last year. So consolidated revenue was EUR 45 million compared to EUR 23 million last year, plus 52%. Consolidated EBITDA were important, EUR 14.2 million compared with EUR 8.2 million last year, plus 72.8%. This is very good results. It's mainly driven on the organic growth, the scalability of our business and very, very positive contribution to profitability by myLoc. Margin revenue overall is 40%. And later, we have a specific breakdown of the single company with the margins so you can see all the company acquired improved their EBITDA margin. Consolidated adjusted EBIT, EUR 7.8 million compared with the EUR 4.3 million for the first half of 2020, plus 79.6%. EBIT growth faster than EBITDA. The EBIT margin was 22.1% of the revenue. Adjusted net profit, EUR 4.3 million compared with EUR 3.2 million last year, plus 35%. Net financial position net debt included the impact of the IFRS 16 application in terms of rental space for approximately EUR 8.6 million. The debt was EUR 72.6 million, lower than EUR 95.6 million of end of last year. The main reason is the capital increase for approximately EUR 25 million, the agreements that we closed in June this year and a good cash generation. And in this net debt, we don't include the value of the treasury share. And if we take the market price of by end of June was EUR 28.7 million. But if we consider the daily market price of the Wiit share that this value now is over EUR 42 million. I then jump to the Slide #4. Revenue rose 52% from EUR 23 million to EUR 35 million. EBITDA adjusted growth more faster, the revenue from the scale up of the business from EUR 8.2 million to EUR 14 million, EBITDA margin 40%. EBIT margin growth from EUR 4.3 million to EUR 7.8 million, with EBIT margin of revenue 22.1% and EBIT growth 79%. Net profit adjusted EUR 4.3 million compared of EUR 3.2 million last year. In the adjusted, we exclude all the nonrecurring items like M&A, consultant costs, due diligence costs, stock option plans, in this case adjustments were paid for earn-out. Net debt, EUR 72.6 million. And in this value, we don't include -- I repeat, was important, EUR 42 million of the actual value of the treasury shares. Jump to financial highlights of myLoc. MyLoc is our first broad acquisition. We are very happy to share these results because we demonstrated a very, very good deal in Germany. The company is running very well. In terms of revenue, in terms of EBITDA margin, is impressive, 49.5% is higher than Wiit and the Wiit is a sure good performance in terms of profitability. EBIT margin 29.8%. And after we can discuss about the book in general, the sales of the first half confirm that the trend achieved in the first half of 2021. Revenue adjusted EUR 35 million, 11% is organic growth. And this trend will be confirmed because we have the best performance in terms of bookings in the period of January, from January to August, we have the highest value in terms of booking over the last 3 years. So at the moment, our perspective for the second half is, it's continuing a good organic growth. But we continue to focus on higher added-value services and reduce our sales of hardware or in general service with low value. And the cross-selling in the acquired company will be a very, very good result because the [indiscernible], we closed a lot of contracts, for example, in the cybersecurity business or in cloud space and the customer acquired by the acquiring company. MyLoc contribution in terms of revenue was EUR 9.6 million. You can jump to the Slide #7, you can see the EBITDA was down. And overall, I repeat, EBITDA growth from EUR 8.2 million to EUR 14 million. The concentration on Cloud services, I repeat, reduced low value service or product sell, increased EBITDA margin. Wiit itself from 42.9% to 44.5%. Matika is the independent of location acquiring company chooses to go. When we acquired this company, it's running 80% EBITDA margin. Now changed from 27% to 33% EBITDA margin, very, very jump, we are very, very happy. Etaeria is the last acquisition in Italy, January last year from 19.5% to 22%. And our outlook for Etaeria to improve -- additional improved margin in the next 2 years because the migration of all the facilities is starting in July and this positive effect we have full achievement next year. Adelante remained stable with 1% and myLoc is our German -- our first German acquisition, margin growth from 43.9% to 49.5%. The adjusted EBITDA is related to cost of work integration, general M&A, consulting, lower to do the due diligence and for 200 [indiscernible] cost related to stock option plan and stock grant approved in the shareholder assembly in the early May of this year. EBIT adjusted growth from Slide #8, from EUR 4.3 million to EUR 7.8 million and net profit increased from EUR 3.2 million to EUR 4.3 million. In these numbers, we don't include a possibility to improve the new patent box, the renewal with the tax office is ongoing. Our expectation is to close the process by the end of this year. But [indiscernible] approach, we don't consider a possibility to reduce the tax rate in case of a new agreement with the tax office. With that, [ EUR 22 million ] the main topics is capital increase EUR 25 million in June, strong operating cash flow. CapEx in this period -- capital expenditure was positive EUR 5 million and the mainly relative of the booking of the organic growth. I remember the company use -- spend approximately EUR 3 million yearly for matters of CapEx, and the large part of the CapEx is relative to the growth is total build-up CapEx. The treasury share buyback in this period was EUR 4.6 million, and the dividend payment, EUR 3.2 million and the payment of the earn-out and minorities EUR 2.4 million. Treasury share value at the end of June was EUR 28.7 million, not included in this cash and actual value is approximately EUR 42 million. Okay. We are now ready for Q&A session.

[Operator Instructions] The first question is from Giorgio Tavolini with Intermonte.

Giorgio Tavolini

My first question was regarding the convertible bond issuance that you have just announced for EUR 100 million -- up to EUR 150 million. So I was wondering if it's just for refinancing purposes or if you are, let's say, increasing your firepower for additional M&A? The second question is regarding the organic growth. I appreciate you registered 11% organic growth in the first half just for double check, is it correct 9% in the second quarter? And the third question here is regarding the Mivitec. So what synergies you expect from -- in terms of revenues and also in terms of cost? You announced the EUR 1 million cost synergies in July. So I was wondering if there are also upselling synergies or whatever? So first one on convertible, the second one, organic growth and third one, Mivitec.

Alessandro Cozzi

#5

Okay. Thanks, Giorgio. The first question about the bond. First of all, it's not convertible with a senior bond, okay? Unsecured, the maximum value of the approved -- approval by the board is EUR 150 million. And we have 2 user proceeds. The first one is refinancing the existing debt, we want to improve our disposable debt in long term. And the second for EUR 60 million approximately, we have loans to refinance and the residual to finance and M&A. The new M&A, of course. Second question, organic growth, I agree with your predictions, 9% organic will be a good target for the second half. Of course, the first 7 months booking or we can confirm that it's very, very strong. If the booking continuing to go very, very high, we can increase -- at the moment, we confirm 9% of the revenue because we have always a shift from 6 months to 9 months from the booking to the start to billing the contract. The book is very strong. The bookings strong means a good, good visibility of the 2022 year for the second half. The third question about Mivitec. Your expectations on cost synergies from EUR 1.2 million in 2 years. At the moment, we don't expect revenue synergy. We bought a good customer base in Monaco area, one of the mainly manufacturing industry zone in Germany. At the moment, we are building in Germany, a new sales team to start the proposal we sell, we need one is to start the sales of our sales team and skills.

The contribution for the last quarter could [indiscernible] for the second half, cannot be compared to the -- at group level, so significant.

Next question is from Gabriele Berti with Intesa Sanpaolo.

Gabriele Berti

analyst
#8

I have just 1 question about financial expenses. There was a big difference between the value posted in the first quarter and in the second quarter. I mean the difference was about EUR 1 million. You posted EUR 1.3 million in the second quarter and just EUR 300,000 in the first one, which is the reason behind that. And then I would like also to ask you. You previously said that the refinancing -- the portion of the bond related to the refinancing of this extinct debt is about, I don't catch the number. Can you repeat, please?

Alessandro Cozzi

executive
#9

Okay. Starting to answer your second question, we want to refinancing EUR 60 million or EUR 50 million the bridge we received to buy myLoc, EUR 10 million is the part of the pool like we have a user inside a total of EUR 30 million bank alone. So EUR 60 million refinancing and EUR 90 million to finance M&A. The first question about the CapEx.

Unknown Executive

executive
#10

Financial expense.

Alessandro Cozzi

executive
#11

The interest paid changed from one to second term. I think the counting of the amount [indiscernible] and second, we check the difference of first quarter and second quarter, 1 second. Okay. The main difference is...

Unknown Executive

executive
#12

The amortizing cost of market expenses about the loan of EUR 50 million.

Alessandro Cozzi

executive
#13

Okay. Starting amortizing of the loan and amortizing the interest rates of the new line credit and the payment of more earnout related to more cash in the Matika business. When we bought Matika, we insert -- the total value of the company, including minorities earnout, but we don't include...

Unknown Executive

executive
#14

It's cashless. So it's not impacting...

Alessandro Cozzi

executive
#15

Yes. It's cashless.

Unknown Executive

executive
#16

The acquisition. It's just an accounting. It's just on the accounting.

Unknown Executive

executive
#17

The accounting and the cost -- the other cost. The advertising cost, 500 and other things...

Alessandro Cozzi

executive
#18

More interest.

Unknown Executive

executive
#19

You just see the effect on the P&L, you don't see the effect on the cash flow statement.

Unknown Executive

executive
#20

And the derivatives mark-to-market of the derivatives.

Alessandro Cozzi

executive
#21

Okay. We have the mark-to-market of the hedging of the EUR 50 million of the bridge. Okay. The mark-to-market value of the hedging, the main difference.

The next question is from [indiscernible] Investment Group.

Unknown Analyst

analyst
#23

First, congrats on a great set of results. I got 2 questions, if I may. First, how would you explain that Adelante margin is not improving in time compared to other companies you acquired in the past? And my second one is, do you expect an acceleration in CapEx spending in H2? As you are planning to build new data centers from myLoc, if I'm right?

Alessandro Cozzi

executive
#24

Yes. Can repeat the first question because the audio is not -- is poor. Can you repeat the first question, please?

Unknown Analyst

analyst
#25

Sure. Sorry about that. How do you explain that Adelante margin are not improving in time compared to other companies you acquired in the past in Italy, like Etaeria and Matika? Why are those margins not improving in time?

Alessandro Cozzi

executive
#26

Okay. Starting on the question about Adelante. Adelante is not improving because we have inside the business as a part of our sale of hardware and mitigate the good business, cloud business. In Adelante, we have roughly 40% of the revenue related to the sale of hardware, this impact in overall in EBITDA margin. In the future, sure we want to reduce this part. It's not so simple because if you want to sell hardware, a large account, when you sell our core business, selling is not simple to say to the customer, okay, I don't want to give you hardware. But the trend is ongoing. And I think in the future we can improve our -- the same path -- the same way we started with Matika, we want to improve in Adelante. The second one is about the CapEx, yes, we -- our expectation is we want to ensure we spend more CapEx in the second half because the data center in Germany is building at the moment. And we confirm the [indiscernible] the market expectation in term of proper CapEx for the full year. And if you see the CapEx for the first year -- the first half, sorry, sure the second half, our expectation is to add a little more CapEx.

Your next question is from Michele Baldelli with Exane BNP Paribas.

Michele Baldelli

analyst
#28

I've got a couple of questions. The first one relates to the message on the booking trends. So I was thinking that probably we can also expect an acceleration of the top line in the coming quarters? Or is it too early to say? And if you foresee, let's say, significant further business and contracting in the coming weeks or months? The second question relates to the integration of myLoc if I'm not remembering badly, you said that in H2 of this year, the training and the integration of myLoc should have been completed, and I mean on people, not on the data center. Is it still the case, you are on track? Can you give us an update, please?

Alessandro Cozzi

executive
#29

Okay. Starting from the booking trend, we see the market is very, very good. Our expectation is -- but if we don't have the signed contract, we don't want to be a party -- to do a party. But in general, we have a good pipeline. I think it's too big deal on the table. We hope by the end of this month, to disclose to the market because we have a very important material trigger. As we go up, we communicate the sign of the deal. We have on the table, a good pipe and 2 important deals.

Unknown Executive

executive
#30

In general, we remind to you that as soon as we book a new order, normally, there is a migration period because the onboarding of new clients normally means a project of 3, 4 months. This is the reason why Alessandro told that the expectation for the recurring revenues normally starts several months from 4 to 6 to 7 months after the signing of booking. So this is the reason why the booking was good. The pipeline is good, is strong. So we are very happy of that. And we expect also for the second half good booking results. The full effect of this booking [indiscernible] 2022, probably not completely expecting this.

Alessandro Cozzi

executive
#31

At the moment, we have roughly 90% of our budget 2022 just covered by the booking -- by the bookings. We are very, very confident to achieve the 2022 [indiscernible] booking was very, very strong. The second question about the myLoc integration. In Germany, we don't integrate [indiscernible], we need them to have a local data center. Integration is [indiscernible] myLoc and in the future, the next M&A. General, now we are looking and we are in something due diligence in Germany. And the integration is Germany by Germany, and we want to create cost synergy and use more efficiency our data center. Mivitec is an example. Mivitec is running with 3 data centers. We want to switch off 1 and we create cost synergy. And the same in the next, I hope, deal M&A, we are looking in Germany. In terms of people, we need as well the local skills. We hired the sales or the head of the sales and the pre-sales, we are hiring, hiring the skill set and our expectation is to have -- starting to have the pipeline for the higher value services next year.

Operator

operator
#32

The next question is a follow-up from Giorgio Tavolini with Intermonte.

Giorgio Tavolini

analyst
#33

Regarding the M&A, I was trying to estimate the higher power that you could have for additional M&A. So if I understood correctly, you should have EUR 20 million in proceeds from direct issue because EUR 30 million were used for Mivitec, so EUR 20 million, then EUR 42 million from treasury shares, the mark-to-market value. Then you talked about the portion from the senior bond you're going to issue, so EUR 90 million. And then I suppose also EUR 36 million, the target cash and cash equivalent at June end. So roughly EUR 150 million, EUR 180 million. Is that correct? And the second question is regarding the potential target that you have outside Germany or I don't know if you want to consolidate further in Germany and further your presence in Germany or not?

Alessandro Cozzi

executive
#34

For the first question, it's perfect. I confirm totally. The firepower is -- will range from EUR 150 million to EUR 180 million and let's call it assumption. But the target -- we can disclose, of course, but [indiscernible] is connection with us, I can give you something more color about general describe the target we are looking in Germany and in Italy in terms of size, in terms of our services.

Unknown Executive

executive
#35

Sure. If you want very gladly, I can give you a super short update on M&A. And just to recap, as you already know, we have acquired provided Munich this last July, and we are currently focused on some new opportunities, both in Italy and Germany. More specifically, we are quite ahead with the negotiations in the negotiations with a company in the north of Germany and one in Italy. Both are very good targets. The one in Italy is a company that, let's say, that despite being smaller than Wiit is one of the few competitors in the national arena with a strong focus on [ SFA ] and in general, management of critical applications.

Alessandro Cozzi

executive
#36

We have the discussion favor. To be clear, we are not in advance. We are in discussion premium.

Unknown Executive

executive
#37

Sure. And in general, as I always said, before you close the deal, you're never sure -- but what I'm trying to say is that we've been working very, very strong, as always, on this target and then the other one that I'm going to mention -- and obviously, it's not said, it's not closed, we are not sure and we are not forced to close. But in case we will be successful, it will be not only a boost on our revenues and our profitability, but also a clear improvement in our peculiar position in Italy. And jumping very briefly on Germany, the company I was mentioning, the one that we are looking at in the North of Germany is a midsized operator focused on critical services, let's say, quite in line with our traditional offering. And in case we will be successful and is not said as you were underlined before, it would be our biggest acquisition so far. And in general, let's say so, and let's finish with this. We are confident that if none of the 2 companies I mentioned before, we will be successful with none of the 2 before. I mentioned before, we have quite a good pipeline. And in general, we are quite confident that in the next 6 or 12 months at the maximum, we will be able to close at least another deal in Germany or in Italy. And that's a very brief update on M&A. If you have questions, obviously, I'm here.

Alessandro Cozzi

executive
#38

In general, we're looking for a midsized target because we want our target our -- is to achieve half of the revenue and EBITDA in most of our markets. And at the moment, we are running in Germany, roughly EUR 24 million revenue, in Italy overall EUR 50 million. We want to achieve the half of our revenue growth in Germany and the half EBITDA in Germany. This is our -- some midterm target. [indiscernible] I assure that mainly -- the many way.

Unknown Executive

executive
#39

And let me also add and then I close that we are more than ever very focused on cost synergies. As Alessandro said, our first acquisition in Germany was a [indiscernible] investment. And I'm referring to myLoc's and cost synergies were not the main target in that acquisition, but from Mivitec ahead, the model of selection that we have will be the same that we had in Italy where cost synergies were one of the main driver in choosing the targets and acquiring the company.

Giorgio Tavolini

analyst
#40

And what about other countries, closed countries, I mean Switzerland or France or Spain, I don't know?

Unknown Executive

executive
#41

I think that in the next 12 months, at least, we will be focused mainly on Germany. Switzerland could be, to be honest, an area of search, but just because it's in a way, in between Italy and Germany and in France that could be a focus for the future. But Germany is, to be honest, our main focus currently and in the short future. Just because this is current with what I have just said, we are trying to extract cost synergies. And before opening new markets, we would like not only to be a little bit stronger but we want also to leverage the acquisition we've done. I'm referring to myLoc and Mivitec, and that's why we want to stay focused on Germany. That by the way, it's the main market that we have in Europe. And there are lots of good targets very, very in line with our search.

[Operator Instructions] Next question is a follow-up from Michele Baldelli with Exane BNP Paribas.

Michele Baldelli

analyst
#43

I had a follow-up because after the answer on the possible M&A in Italy or Germany, I was wondering, are the target something that anyway are in line with you in terms of marginality or there will continue to be a story of increasing the margins of the targets?

Alessandro Cozzi

executive
#44

And some 1 target we are analyzing. The margin is low, we have to improve the margin. And the second -- other side in Germany, we are looking at the margins as high. This is not the same situation. It depends on the target.
